K&L Gates Partner, Private Target M&A Deal Points Study Co-Chair Previews 2023 Study

K&L Gates partner Jessica Pearlman once again serves as co-chair for the 2023 Private Target Mergers & Acquisitions Deal Points Study, which will be released later this year on the American Bar Association’s (ABA) Business Law Section M&A Committee’s Market Trends Subcommittee website. Pearlman has chaired the study now for nearly 14 years, leading the effort of the 50+-member working group. Considered the preeminent study of M&A transactions, the study examines the prevalence of certain contract provisions in publicly available, private target M&A transactions and is widely utilized by practitioners, investment bankers, corporate development teams, and other advisors.

In an article for ABA’s Business Law Today, Pearlman and her co-chair offer a preview of this latest version of the study, including the sharing of a key data point indicating, for the first time, a decrease in the number of deals referencing representations and warranties insurance (RWI). The authors note: “The 2021 version of the Private Target Deal Points Study showed RWI references in nearly two-thirds of the deals referencing RWI. The 2023 version of the study will show a drop in RWI references, to 55%.”

Pearlman represents emerging and established companies in various corporate, securities, and finance matters, with an emphasis on mergers and acquisitions for both public and private clients, domestic and international. She is vice chair of the ABA's M&A Committee, is a former chair of the M&A Committee's Market Trends Subcommittee, and has served as chair since 2010 of its flagship Private Target Deal Points Study.
