Mr. Schapiro has a corporate and securities law practice focusing on the counseling of domestic and international emerging growth companies and their investors in the cleantech (particularly solar) and information technology sectors with respect to formation, debt and equity financings, mergers and acquisitions, initial public offerings, equity compensation, strategic relationships, commercial transactions and general corporate matters.
Mr. Schapiro’s representation of solar companies has included the negotiation of commercial transactions, including solar cell and module supply agreements; project financing, including debt and tax equity financing; venture capital financings; and strategic relationships.
Mr. Schapiro also has significant experience advising public companies with respect to SEC (including Sarbanes-Oxley) compliance, mergers and acquisitions, securities offerings, corporate governance obligations and general corporate matters.
Prior to joining K&L Gates, Mr. Schapiro was a founder and co-chief executive officer of a Bay Area start-up. He also was a corporate and securities associate in the Palo Alto office of a national law firm, where his practice focused on counseling emerging growth companies and their investors.
