Allison Wilkerson is a senior associate in the firm's benefits, ESOPs and executive compensation group. Ms. Wilkerson focuses her practice on the design, implementation, and administration of tax qualified retirement plans (including defined contributions plans and employee stock ownership plans) and nonqualified retirement plans (including employee stock option plans, management incentive plans, and executive and deferred compensation plans); regulatory compliance with the Internal Revenue Code and ERISA; and plan correction through various benefit plan correction programs. She also represents clients before the Internal Revenue Service and the Department of Labor in audit and correction matters. Ms. Wilkerson has advised employers with respect to issues raised in connection with corporate mergers, acquisitions and divestitures as they relate to the various benefit plans maintained by the affected corporate entity or entities.

Professional Background

Ms. Wilkerson joined the Dallas office of K&L Gates in 2011.  Ms. Wilkerson focuses in the area of ERISA with respect to employee benefits including qualified plans, non-qualified plans, and executive and deferred compensation.  Ms. Wilkerson focuses on advising employers in the design, implementation, and administration of tax qualified and nonqualified retirement plans and representing clients before the Internal Revenue Service and the Department of Labor in audit and correction matters.  Ms. Wilkerson has extensive experience in advising employers with respect to issues raised in connection with corporate mergers, acquisitions and divestitures as they relate to the various benefit plans maintained by the affected corporate entity or entities.  Ms. Wilkerson also has extensive experience in employee stock ownership plans (ESOP) and has been involved in numerous ESOP transactions including leveraged buy-outs, mergers, acquisitions, and the structuring and financing of ESOPs using private equity.  Ms. Wilkerson also has an executive compensation practice that focuses on counseling clients regarding the compensation, benefits and severance of directors, executive officers and other employees.   Ms. Wilkerson has worked with multiple forms of executive compensation and benefit plans, including the design and administration of stock plans, incentive plans, and nonqualified deferred compensation arrangements.

  • Prepare and review of profit sharing, stock ownership and other qualified and nonqualified benefit plans for many employers, including a number of Fortune 500 companies.
  • Represent companies before the IRS and DOL. 
  • Advise management on problems arising in operation of qualified and nonqualified retirement plans and benefit litigation matters.
  • Prepare applications for determination of tax-qualified status to IRS.
  • Assist employers and executives with the design and drafting of executive compensation and equity incentive plans and agreements.
  • Draft nonqualified deferred compensation programs and advise employers regarding income tax issues for deferred compensation, including compliance with Code Section 409A, constructive receipt and FICA.
  • Advise companies regarding benefits issues in connection with mergers and acquisitions, including due diligence analysis of benefit plans and compensation arrangements, transition and integration issues.
  • Advise employers regarding operational plan errors and correction options under IRS Employee Plans Compliance Resolution System and DOL Voluntary Fiduciary Correction Program.
