Mr. Stanton concentrates his practice in complex commercial and insurance coverage litigation. Mr. Stanton has represented clients in state and federal courts across the country, and has significant trial experience in both state and federal courts. In the area of insurance coverage, Mr. Stanton has litigated asbestos, silica and environmental coverage disputes on behalf of policyholders, and also has significant experience litigating insurance coverage disputes related to first party property damage and business interruption losses. Most recently, Mr. Stanton was lead trial counsel on behalf of a policyholder seeking coverage for silica bodily injury claims in West Virginia state court. The trial concluded with a verdict in favor of the policyholder for full damages, with an additional award of interest and attorneys’ fees for a total judgment of approximately $18 million. Mr. Stanton also has advised clients with respect to various insurance issues arising in connection with mergers and acquisitions.
In addition to his insurance coverage practice, Mr. Stanton has substantial experience litigating disputes arising out of mergers and acquisitions and shareholder disputes. In the mergers and acquisitions context, Mr. Stanton has represented both plaintiffs and defendants in connection with post-closing claims for indemnification, disputes over post-closing adjustments to the final purchase price, shareholder suits seeking to enjoin proposed mergers and other shareholder derivative litigation, and disputes arising under earn out agreements.
Mr. Stanton also has represented clients in connection with civil and criminal investigations by the Department of Justice and other government agencies. He has conducted internal investigations for clients facing potential liability under the federal False Claims Act and similar state laws, and has defended clients against qui tam whistleblower lawsuits.
