Mr. Benson is an investment management lawyer with extensive domestic and international experience advising leading managers and other financial service providers in all aspects of fund formation, promotion, restructuring and termination matters.

He advises on financial services licensing and other operational and governance issues across a broad spectrum of local and offshore financial products and structures.

Mr. Benson's expertise also includes advising on general corporate and commercial matters in the financial services industry including the sale and purchase of shares, joint ventures, corporate re-organisations, shareholder agreements and investor meetings.

Professional Background

Prior to joining K&L Gates, Mr. Benson was a Partner in the Investment Management Group in a law firm based in the Cayman Islands. He was also previously a lawyer in the Funds Management and Financial Services group of an Australian commercial law firm.

  • Advising an Australian manager on the listing of a stapled security structure which raised AUD300 million to be invested in offshore absolute return funds and linked to a minority shareholding in the fund manager, including drafting the AFSL application, corporate constitution, administrative services and management deed, shareholders’ agreement, share sale agreement, directors’ deeds of access, indemnity and insurance documentation, intellectual property licence deeds, all necessary corporate resolutions, notices of meeting and powers of attorney.
  • Acting for a finance company in relation to a fundraising offering debenture products to Australian retail investors, including preparation of a prospectus, drafting a due diligence planning memorandum, acting as secretary to the due diligence committee, drafting a supplementary prospectus for an existing product and advising on a number of fundraising issues.
  • Acting with respect to the establishment and offering of capital guaranteed offshore alternative investment vehicles to Australian and New Zealand retail investors, including preparation of a range of transaction documents, drafting due diligence planning memoranda, advising on compliance with fundraising requirements in the Corporations Act, advising on legal compliance in marketing materials, reviewing and verifying prospectuses and preparation of all necessary corporate resolutions.
  • Advising one of the largest global asset and wealth managers with respect to the formation and offering of interests in a Cayman Islands segregated portfolio company including drafting of offering documents, service agreements and constitutional documents.
  • Advising a large asset manager with respect to the formation and operation of its side-by-side Cayman Islands hedge funds and private equity funds focused on a wide range of investment opportunities existing in the mortgage credit sector.
  • Advising a leading private equity firm with respect to the formation and launch of its Cayman Islands buyout funds.
  • Advising a leading global alternative investment management firm on the Cayman Islands formation of a US$5 billion global distressed debt fund.
