Mr. Delaney is a corporate and transactional lawyer with a focus on complex transactions that span M&A, buy-outs, distressed or restructuring transactions and private equity/venture capital fund establishment deals for a range of clients. In addition to his expertise in traditional private M&A transactions, Mr. Delaney has extensive public M&A experience and regularly acts on scheme of arrangement and takeover transactions.

Professional Background

Prior to joining K&L Gates, Mr Delaney practiced in an Australian national law firm. Prior to this Mr Delaney was the corporate development manager of a technology company based in Singapore and also practiced in the M&A team of an international law firm.


  • Presidential Commendation for services to Timor Leste (for volunteer work).
  • Advising Moelis Australia on its acquisition of the Redcape Hotel Group from funds, York Capital Management and Varde Partners. The acquisition was valued at AUD677 million and involved the rollover of existing senior syndicated debt financing of approximately AUD350 million.
  • Advising ASX listed Hunter Hall International Limited in its reverse merger with fund manager, Pengana to create a merged company with funds under management exceeding AUD3 billion.
  • Advising the Board of Hunter Hall International Limited in relation to the hostile takeover bids by Washington H. Soul Pattinson and Company Limited and Pinnacle Investment Management Group Limited.
  • Advising ASX listed Homeloans Limited on its merger by way of scheme of arrangement with Resimac Limited to create a home loans solutions provider with a AUD13 billion loan book.
  • Advising CSIRO, Australia's chief publically funded science and research body, on the establishment of its AUD200m CSIRO Innovation Fund.
  • Advising Alceon Group, a leading investment and advisory firm, on its off-market takeover bid for Australian womenswear retailer Noni B Limited.
  • Advising Noni B Limited on its acquisition of Pretty Girl Fashion Group from Consolidated Press Holdings, including an accelerated non-renounceable rights issue to fund the cash component of the purchase price, which resulted in Noni B becoming one of the largest specialty apparel retailers in Australia.
  • Advising Keystone Group on its acquisition of Pacific Restaurant Group Ltd, an unlisted public company, by way of off-market takeover bid, including AUD88 million in structured debt funding from KKR and Olympus Capital.
  • Advising Pybar and Diversified Minerals on their acquisition of Unity Mining Limited, a listed mining company, by scheme of arrangement.
  • Advising Jones Lang LaSalle Australia on its acquisition of Five D Holdings and on its acquisition of Propell National Valuers.
  • Advising Moelis Australia Asset Management on its AUD20m investment in Mort & Co Ltd.
  • Advising Tank Stream Ventures, an early stage venture capital limited partnership, on numerous investment transactions, including its participation in a AUD30m funding round in Firefly Systems Inc, a US-based rocket manufacturer.
  • Advising Moelis Australia Private Investment Fund in relation to the A$3 million capital raising by Sparesbox Pty Ltd by way of a Convertible Notes issue.
  • Advising Mazars, an international accounting firm, on its entry into the Australian market by way of merger with Duncan Dovico, an Australian national accounting firm.
