Carley Andrews is a partner in the firm's Technology Transactions and Data Protection group. She practices in all aspects of intellectual property law, including technology licensing, and commercial transactions. Ms. Andrews has extensive experience with wireless telecommunications, network operators, mobile devices, hardware supply and software development, infrastructure, and retail. She works with a broad range of technology and intellectual property-related companies. Her experience includes the following:

  • Software and content licenses, services, and development agreements, product supply and distribution agreements, application preload agreements, hosting agreements, service subscription agreements, IT systems agreements, and other transactional documents for major technology clients. Ms. Andrews works closely with business clients and in-house counsel to identify goals and risks, develop solutions, and draft and negotiate contracts.
  • Infrastructure and operational agreements, such as agreements for dark fiber service and collocation services.
  • Roaming and wholesale supply agreements in the wireless telecommunications field. In 2011, Ms. Andrews negotiated a roaming agreement valued at over $2 billion.
  • Hardware manufacturing agreements, such as for systems and components.
  • Supply and procurement agreements, including for strategic components (such as chipsets, laser diodes, etc.)
  • Advertising, athlete sponsorship, and commercial agreements.
  • Open source license analysis and advice, such as in connection with clients’ use of proprietary code and open source code.
  • Brand licensing, manufacturing, and distribution agreements, such as for recycled paper brands and jewelry and craft products.

In addition to transactional work, Ms. Andrews advises clients with the rollout of new services and products, including advice regarding service operation, drafting terms of service and privacy statements, and coordinating local counsel review of those documents on an international level.

Ms. Andrews manages and conducts intellectual property and commercial due diligence in connection with mergers and acquisitions and other commercial transactions and investments on the national and international level.

Ms. Andrews performs pro bono work that includes representing petitioners for asylum and other relief in immigration court, assisting charitable clients to make 501(c)(3) applications, and volunteering at legal clinics.

Professional Background

Prior to joining K&L Gates, Carley worked as a legal assistant for Deeley Fabbri Sellen and Gavin Wood Law Office in Winnipeg (Canada). In 2002, Carley worked on property reclamation with the International Rescue Committee at legal aid centers in eastern Bosnia–Herzegovina on a Chayes International Public Service Fellowship.
