A founding partner of K&L Gates’ Houston office, Mr. Strauss advises clients across a wide range of industry sectors on various corporate and securities matters, including clients based in the oil and gas, aerospace, trucking, and financial services industries, among others.
Prior to joining K&L Gates, he was a partner with another major international law firm for more than 20 years, where he also served as head of that firm’s securities practice group.
Mr. Strauss advises public and private companies and their boards on such matters as mergers, acquisitions, and divestitures; public and private offerings and purchases of securities (equity and debt); antitakeover bids; corporate restructurings; partnerships and master limited partnerships; stock purchases and sales; change of control agreements; joint ventures; international law; and insider trading issues. He also counsels on exchange and tender offers, 1933 Act and 1934 Act compliance and disclosure matters, and communicating with securities analysts and the press. His clients include companies in such sectors as energy (oil and gas pipeline, exploration, production, service, refining, and marketing), chemical and petrochemical, transportation, and information technology. He also represents national and regional investment banking firms.
