David Guedry is a partner in the Dallas office. He is nationally recognized for more than 25 years of leadership in advising global service providers and Fortune 1000 companies on complex outsourcing relationships, including assisting with developing legal, operational, and business strategies, and translating strategy into the practical negotiation and documentation of deals.

David has significant experience managing the complexities of IT and telecommunication outsourcing agreements; business process outsourcing arrangements, with an emphasis on HR and F&A outsourcing; distribution relationships; licensing arrangements; and joint ventures, strategic alliances, and teaming relationships.

Although David’s primary emphasis is on working with technology businesses, a wide range of clients look to him for guidance. He has handled billions of dollars of outsourcing and other arrangements for leading providers such as Electronic Data Systems Corporation, Perot Systems Corporation, CGI Group (a Montreal based IT outsourcing company), and Hewitt Associates, a leader in the field of HR outsourcing. He represents large multinational retailers, manufacturers, airlines, and other service companies in their contractual relationships with technology services providers. David similarly advised a Big Four accounting firm in the structuring of a global delivery model for a new outsourcing services offering.

Achievements

Listed in Chambers Global (2007-2011) and Chambers USA (2005-2011) – ranked in the first tier nationally for business process outsourcing and in Texas for technology and IT outsourcing: “one of the top five outsourcing lawyers in the country”. Named by Best Lawyers as the “Information Technology Law Lawyer of the Year” for 2012 in Dallas.

Relevant Renogotiation Experience

David has represented both providers and customers in dozens of renegotiations of outsourcing relationships, including the following:

Represented a leading global services provider in the renegotiation of its major global IT outsourcing transaction with a leading global equipment manufacturer. The renegotiation of the relationship, which involved a complete restructuring of the transaction, occurred simultaneously with a lawsuit in which both parties had claimed the other had breached its obligations under the original arrangement. The contract was ultimately renegotiated and the relationship was salvaged and became successful.

Represented a services provider in a “forensic” examination of its multi-billion dollar network management agreement with a financial services institution, including scoping, delivery, costing and pricing reviews. The relationship was adjusted through several major contractual modifications and ultimately returned to profitability for the provider with the customer receiving enhanced services.

Represented a national auto rental company in the complete renegotiation of its IT services relationship. As a result of significant changes in the customer’s market, including a change in the scope of services required, along with changes in the manner in which the outsourced services were being delivered, the parties determined that if renegotiation was not possible the agreement would be terminated in a “friendly” fashion. The parties have successfully concluded a restructuring of the relationship.
