Dooyong Kang is a partner in the firm’s Tokyo office. Mr. Kang is a Registered Foreign Lawyer in Japan. His practice focuses on the wide range of cross-border transactions, in particular M&A, joint venture and strategic alliance, financing, licensing, and supply and distribution arrangements. Having practiced in both U.S. and Japan as a U.S. licensed attorney, Dooyong represents major Japanese and non-Japanese corporations in various industries, including textile, fashion and accessary, lifestyle, food distribution, e-commerce, auto-parts and construction equipment. In particular, he has represented a major Japanese trading company in cross-border acquisitions, joint venture and strategic alliance, license and distributorship arrangements, e-commerce and dispute matters concerning famous fashion, accessory and franchise brands or business in various territories around the world. In addition, Dooyong has significant experience in representing major manufacturers of auto parts and construction equipment in connection with cross-border joint venture and strategic alliance, technology license and global OEM supply arrangement as well as joint research and development arrangement, covering various territories around the world, including the U.S., Asia and Europe. As a member of the firm’s Tokyo office, he is actively involved in various inbound and outbound matters concerning Japan, South Korea and the U.S. He is a native Korean speaker and is fluent in both Japanese and English.

  • Advised ITOCHU Corporation on its acquisition of the worldwide business of “GRAMICCI” brand, an innovative outdoor lifestyle clothing and accessories brand, including acquisition of all trademarks, copyrights, and domain names as well as related license arrangements.
  • Advised ITOCHU Corporation on its acquisition of Asian business of “WILD THINGS” brand, an outdoor clothing and accessories brand and establishment of a cross-license arrangement with a U.S. seller.
  • Advised ITOCHU Corporation and its affiliate on the establishment of the ground-breaking, cross-border e-commerce platform and related strategic alliance with CITIC Holdings, Co. Ltd., one of China’s largest state-owned enterprises, and its affiliate in connection with the cross-border marketing and sale of various Japanese products to People’s Republic of China (PRC) including processed food, cosmetics, fashion and accessory brand products and related services.
  • Advised ITOCHU Corporation on its acquisition of Asian business of “OUTDOOR PRODUCTS” brand, a famous outdoor clothing and accessories brand, and various related matters including cross-border dispute, license and distribution.
  • Advised ITOCHU Corporation and its affiliates on its acquisition of worldwide business of a famous fashion and accessory brand “LESPORTSAC”.
  • Advised U.S. subsidiaries of a famous Japanese fast food restaurant franchise brand in connection with the corporate reorganization in the U.S. involving spin offs and merger by and among affiliates.

  •  Currently advising a global manufacture of power train systems on the establishment of a global alliance with a multinational Japanese manufacturer of automotive products, including global collaboration arrangement and joint venture and other strategic alliance in various territories around the world.
  • Currently advising a major Japanese manufacturer and supplier of auto parts on the establishment of a cross-border joint venture with a major German counterpart in the U.S., involving complex restructure of North American operations of the joint venture parties including spin-off of existing U.S. business as well as structuring and formation of a joint venture entity which will carry out the combined business of design, marketing, manufacture, sale and distribution of the products in the North American market upon formation of the alliance.
  • Currently advising a large Japanese manufacturer and supplier of auto parts on the establishment of a cross-border joint research and development framework and related strategic alliance with a German counterpart.
  • Advised a major Japanese manufacture of construction equipment (hydraulic excavators) on the anti-trust assessment of a joint venture and related alliance with a Chinese counterpart in People’s Republic of China (PRC).
  • Advised a major Japanese manufacture of construction equipment (hydraulic excavators) on the establishment of a global technology license arrangement and restructure of global OEM supply arrangement with a major foreign counterpart in connection with design, manufacture and sale and distribution of hydraulic excavators in various countries and territories around the world.

  • Advised a U.S. subsidiary of a major Japanese manufacturer of motorcycle rims and auto parts on its acquisition of related business in the U.S. from a U.S. seller.
  • Advised a large Japanese manufacturer and supplier of an automotive fastener system on the joint venture buyout of a U.S. joint venture entity from a major U.S. private equity seller.
  • Advised U.S. subsidiaries of a large Korean manufacturer of headlights system and other auto-parts on a corporate reorganization matter.
  • Advised U.S. subsidiaries of a major Japanese manufacturer of industrial hoses in connection with the establishment of a joint venture entity in the U.S. with a U.S. counterpart for North American market.

Cross-border Dispute; License; Franchise
  • Currently advising ITOCHU Corporation and its affiliates on the restructure of cross-border license and distribution matters for “LESPORTSAC” brand for various territories around the world.
  • Advised ITOCHU Corporation on its restructure and termination of the master franchise arrangement with respect to a famous bakery and restaurant franchise brand “LE PAN QUOTIDIEN” and related dispute matters.
  • Advised ITOCHU Corporation and its affiliates on the restructure of cross-border trademark license, distribution, sourcing and services arrangements in connection with the design, manufacture, marketing, sale and distribution of “LESPORTSAC” branded products in various territories around the world and related dispute matters with local licensees and/or distributors.
  • Advised ITOCHU Corporation on the cross-border dispute matters concerning “OUTDOOR PRODUCTS” brand, including post acquisition indemnification claims and settlement of disputes with a local licensee in connection with termination of an exclusive licensing arrangement with the local licensee.
  • Advised a major Japanese manufacturer of semiconductor and related auto parts in connection with a product liability dispute and settlement matter in the U.S.
Financing; General Corporate Matters
  • Advised U.S. subsidiaries of major Japanese manufacturers of auto parts on the various multimillion dollar credit facilities from institutional lenders.
  • Advised U.S. subsidiaries of Korean manufacturers of auto parts on the various secured and unsecured financing transactions with a major institutional lender from the U.S. and Korea, including The Export-Import Bank of Korea.
