Mr. Vassie is a commercial lawyer with a focus on the financial services industry, in particular, advising investment fund managers. He primarily assists clients with the day to day legal requirements of running a funds management business, such as advising on new fund establishment, product disclosure, investment management agreements, custody agreements, prime broking documentation and administration agreements.

Mr. Vassie also advises clients on legal compliance issues relating to Australian financial services licensing, breach reporting, registered scheme requirements, and Future of Financial Advice (FoFA) reforms.

Professional Background

Prior to joining K&L Gates, Mr. Vassie worked for an Australian commercial law firm in its Investment Funds and Financial Services Regulation practices.

  • Advising a global banking group's business unit on the implementation of the FoFA reforms within its business, including in relation to conflicted remuneration and the updating of its full suite of client facing documents. 
  • Advising an American financial services provider on the establishment of an Australian corporate structure and its successful application for an Australian financial services license. 
  • Advising a number of investment funds management clients on corporate governance, shareholder arrangements, and director and trustee duties. 
  • Advising a multinational asset management company on the establishment of its Australian registered funds platform, specifically in relation to product disclosure and regulatory requirements. 
  • Advising the outsourced responsible entity arm of a financial services provider on the establishment of new Australian funds for a number of offshore and Australian managers. 
  • Advising an industrial property Real Estate Investment Trust on a number of private equity property joint ventures and private equity fund unit and share acquisitions and sales. 
  • Advising the Australian subsidiary of an international investment company on the acquisition of Australian funds management businesses, including on due diligence, share acquisition arrangements and agreements, shareholder agreements and transitional arrangements.
