Thomas F. Cooney, III

Thomas Cooney's principal practice areas involve corporate, securities, finance, and transactional matters, including:

  • client counseling of publicly and privately held entities involving complex business issues, including the timing and substance of disclosure of material events, the impact of accounting issues on business practices, and the alignment of corporate strategy to accomplish corporate goals;

  • public and private offerings in the United States and in the international markets of debt and equity securities for corporations, financial institutions, REITs, finance subsidiaries, closed-end mutual funds, high-tech issuers, and partnerships;

  • mergers and acquisition matters involving either stock or asset based transactions, across industry segments, including health care, defense interests, and mutual funds; and

  • negotiation and documentation of bank loans, credit agreements, secured financings, restructurings, and workouts for publicly and privately held entities, including real estate companies and industrial companies.
  • structuring of investments by non-US entities in US activities, including choice of entity, entity formation, jurisdiction of organization, entity governance, and optimization of tax positions.

Thomas served for 30 years as an Adjunct Professor of Law at The George Washington University National Law Center, where he taught Business Planning and Corporations Law.
