Mr. Khalis is involved in a range of matters including commercial and corporate transactions, mergers and acquisitions, joint ventures, real estate, construction law, and banking and loan documentation (both bi-lateral and syndicated) for Singapore and foreign companies. He is also retained by several Singapore branches of foreign banks, and advises on a myriad of Singapore-law related issues, including banking, commercial contracts, regulatory compliance, and general law.

Professional Background

Mr. Khalis graduated from the National University of Singapore in 1985 and was called to the Singapore bar in 1986. He was in private practice from 1986 to 2005. He dealt with property, trusts, estates, corporate, criminal, Muslim law, family and civil litigation. He was the first chairman of the Law Society’s Muslim Law Practice Committee.

He was an elected Member of Parliament from 2001 to 2006. He was vice-chairman of the GPC for Law and Home Affairs Ministries.

Mr. Khalis was corporate counsel for Meinhardt (Singapore) Pte Ltd, an international engineering firm with a presence in 22 countries, for two years. He later became legal director of Mubadala CapitaLand Real Estate LLC (“Capitala”) based in Abu Dhabi. Capitala is a multi-billion dollar joint-venture between CapitaLand (Singapore) and Mubadala Development Company of Abu Dhabi. Mr. Khalis joined Straits Law Practice in 2011.

  • Acted as a counsel in an appeal in US$4 million insolvency matter; continuing to act post-bankruptcy order and forging a settlement for a discharge.
  • Acted as lead counsel in the acquisition of a local insurance-related company valued in excess of US$8 million by an Australian-listed company.
  • Acted as counsel in the acquisition of a holding company owning a series of Singapore-based entities, with a total consideration if US$106 million, involving parties from Vietnam and Singapore.
  • Part of the team that completed a multi-jurisdictional US$2.13 billion syndication transaction involving several banks and more than twenty assets located in several countries.
  • Acted as counsel in a US$8 million dispute relating to investment in coal mines in Indonesia, involving parties from India, Hong Kong, Malaysia, Indonesia and Singapore; worked out a settlement among the parties.
  • Acted as lead counsel in drafting and negotiating facility documentation for US$40 million to finance the construction of a major resort in the Maldives, involving laws, parties and assets based in India, Hong Kong, Maldives and Singapore; lead counsel in the same project to enhance the loan sum to US$60 million; lead counsel in the same project to subsequently bring in another lender, a bank from India, which took up US$20 million of the existing funding; lead counsel for additional funding of US$4 million and US$6 million respectively.
  • Counsel for the Singapore component of documentation for financing of a series of green energy projects in various parts of India with a total aggregate value exceeding US$40 million.
  • Counsel for a distressed property developer of an $18 million project seeking to resolve all outstanding matters with buyers, contractors, and the authorities.
  • Lead counsel for the Singapore law portion of a multi-jurisdictional acquisition of a private airline company.
  • Lead counsel in a corporate restructuring exercise of an organization that owns assets exceeding US$200 million.
  • Counsel for a fund management company which is leading a Halal Hub project (first of its kind in Singapore).
  • Counsel for an engineering group of companies worth about US$15 million in its expansion into Indonesia.
