Mr. Chen is a partner in K&L Gates’ Taipei office. He has represented international and domestic clients in various areas of law including:

Mergers and Acquisitions - Advising clients on corporate governance as well as commercial and corporate finance transactions including mergers and acquisitions, joint ventures, public offerings and private placements, structuring start-up companies and drafting commercial contracts

Investment Management/Finance - Advising clients on the formation, structuring and fundraising of their businesses, counseling fund managers on the regulatory aspects of their businesses and operations, counseling issuers/arrangers on structured products

International Trade - Handling U.S. Customs and Border Protection (USCBP) investigation related matters as well as US export-import compliance and trade dispute matters

Anti-trust, Competition and Trade Regulation - Assisting clients in witness preparation, advising them on the discovery procedure and dispositions relating to the investigations initiated by the United States Department of Justice (US DOJ) and the European Commission (EC) as well as in class action suits against certain Taiwan manufacturers

Procurement Projects - drafting and advising clients on urban redevelopment project guidelines and Engineering Procurement Construction (EPC) contracts.

Professional Background

Prior to joining K&L Gates in 2007, Mr. Chen practiced as an associate in Michigan, where he focused on corporate, civil and criminal law. He also served as corporate counsel to companies in Taiwan and China.

  • Represented Cayman Islands-based companies in structuring Cayman Islands registered funds, including preparation of organizational and offering documents.
  • Represented British Virgin Islands-based companies in applying for licenses as financial business services providers with the British Virgin Islands Financial Services Commission including preparation of management agreements, business plans and compliance manuals.
  • Represented Hong Kong based companies in applying for licenses to carry out regulated activities with Hong Kong Securities and Futures Commission.
  • Represented US based management company in restructuring Cayman Islands registered funds managed by it.
  • Represented British Virgin Islands based arranger in secured participating pay through notes offering by a Cayman Islands-based issuer.

Securities and Capital Markets

  • Assisted foreign issuers and underwriters respectively in IPO at the Taiwan Stock Exchange and GreTai Securities Market.
  • Assisted a Thai manufacturing company in its offerings of Taiwan Depositary Receipts at the Taiwan Stock Exchange.
  • Assisted a China food company in its offerings of Taiwan Depositary Receipts at the Taiwan Stock Exchange.
  • Represented underwriters in global convertible notes offering by Taiwan based issuers.


  • Acted for Swancor Renewable Energy Group in connection with a sale of majority shares of Formosa II International Investment that operates the Formosa II (blocks 5 and 6 near Miaoli County) offshore wind project of 378 MW and has joint developments with the Macquarie Group.
  • Acted for J&V Energy Technology in connection with the sale of Shao Young Co., Ltd. that has around 30 solar power plants in Taiwan of a total of around 85 MW to a major global private equity fund.
  • Acted for New Green Power in connection with the provision of engineering, procurement and construction, operations and maintenance, and asset management services, to a major global private equity fund’s around 30 solar power plants in Taiwan.
  • Represented a solar power project developer in a $125 million project portfolio funding agreement with a Switzerland fund management company in the development and construction of a portfolio of projects with an aggregate capacity of 300MW in Taiwan (100MW of rooftop projects and 200MW of ground-mount projects).
  • Represented the owner and developer of the first offshore wind farm project in Taiwan with a total capacity of 128MW in a project funding agreement with an Australian fund management company and a Danish energy company.

Emerging Growth and Venture Capital

  • Represented venture capital funds in respect of investment in China based IT companies and education companies.
  • Represented British Virgin Islands-based companies in respect of the issuance of preferred shares. Represented British Virgin Islands-based companies in respect to investments in Mongolia-based mining companies.
