W. Eugene Chang is a partner in the firm’s Seoul’s office. His practice focuses on cross-border energy and infrastructure project developments, project and structured finance, and mergers and acquisitions.

Mr. Chang has extensive experience in energy project developments, including both conventional and renewable power projects as well as in representing both lenders and borrowers in relation to a variety of cross-border financings.  His recent experience includes the representation of Korea Development Bank and Korea Eximbank in connection with their complex limited-recourse and structured cross-border financings involving Korean sponsors and investors. He also represented many of major Korean developers/sponsors such as KEPCO, POSCO, SK, Hanwha and Hyundai Heavy Industry in connection with their overseas energy projects.

Professional Background

Prior to joining the firm, Mr. Chang was a senior counsel and partner in the Tokyo office of an international law firm.

  • Represented KEPCO in connection with the development and financing of a 40MW solar farm project in Hokkaido, Japan. The project was one of the first utility scale solar farm development projects in Japan that incorporated a battery-based energy storage system.
  • Represented a consortium of Korean sponsors in the successful bidding for and development of 60MW solar farm project in Guam.
  • Represented Exim Bank of Korea and international banks in the financing of the development of a 200 MW off-gas fired power plant for an integrated steel mill developed by POSCO and Krakatau Steel in Cilegon, Indonesia.
  • Represented the consortium of a Korean utility company and a major Japanese trading company in the bidding for 200MW geothermal power plant in Kenya.
  • Represented Korea Development Bank and its syndication group in the provision of financing to the Korean buyer group for the acquisition of Acushnet Company, the holder of Titleist and Footjoy golf brands.
  • Represented Korea Development Bank in the restructuring and refinancing of acquisition finance and a variety of multi-jurisdiction working capital facilities to Acushnet Company.
  • Represented a major Korean chemical company in the development of a joint venture with a Kazakh company for a USD 3 billion polyethylene manufacturing plant in Kazakhstan.
  • Represented a major Korean steel company in multi-currency ECA backed financing of its IPP project to develop a number of gas-fired and blasted-furnace-gas-fired electricity generation plants in Korea.
  • Represented a Korean power development company in the development of a 1,200 MW thermal power plant project on a BOT basis in Vietnam, including negotiations with Vietnam government.
  • Represented a consortium of a Korean bank and international banks in the financing of construction and development of a LBO manufacturing plant owned by a joint venture between SK Lubricants and Pertamina in Indonesia.
  • Represented a consortium of international banks in an ECA financing for the development of a LBO manufacturing plant by SK and Repsol in Spain.
  • Represented a major Korean energy company in connection with a global restructuring and spin-off project to spin off its lube base oil business.
  • Represented a buy-out group in the acquisition of the second-largest Korean confectionary company from a consortium of global private equity groups.
  • Represented a major Korean energy company in the sale of a minority interest in its green-field petrochemical project in China to a Middle Eastern investor.
  • Represented a major financial institution in a ground-breaking series of securitizations of Japanese Yen and US Dollar denominated future flow receivables of major Korean airlines.
