Joshua Reeves concentrates his practice in the areas of commercial real estate, resort and hospitality, land development and financing transactions. He has extensive experience with the sale, acquisition and financing of hotels; property management agreements; franchise agreements; leases; and the development of residential, commercial and mixed-use properties. Joshua’s practice also encompasses the development and structuring of all forms of vacation ownership programs and clubs, including timeshare, fractional, travel membership clubs, and destination clubs. He regularly assists clients with registration, disclosure, and regulatory compliance with state and federal land sale, timeshare, marketing, and telemarketing laws.

  • Represented a hotel owner, developer and operator in the acquisition and financing of numerous hotels throughout the United States, including negotiating loan documents, joint venture agreements, franchise agreements and hotel management agreements related to transactions
  • Represented numerous national and regional developers in creation, development and registration of condominium, subdivision, timeshare, fractional, travel club and destination club projects.
  • Represented various national and regional developers in connection with the financing of receivables through numerous term securitization, warehouse lines of credit, receivables hypothecation and whole loan sale transactions.
  • Represented national resort developer in various fee based service arrangements and loan workouts transactions with regional/local resort developers and receivable lenders, including negotiation of sales and marketing agreements, multi-party escrow services agreements, management and rental agreements, and amendments to resort and loan documents.
  • Drafted restrictive covenants, declarations, articles, bylaws, construction agreements, easement agreements, sales documents and disclosure materials for various mixed use, condominium, subdivision, timeshare, fractional, travel club and destination club projects.
  • Prepared numerous registration filings and disclosure documents for compliance with state and federal laws regarding resort developments, land sales, timeshare projects, condominium, subdivision developments and telemarketing.
