Lisa Hui is a member of the corporate/M&A practice group. Her legal practice focuses on mergers and acquisitions, capital markets, corporate finance, corporate governance, corporate commercial, licensing and regulatory compliance. She has worked with some of the largest corporations in Singapore as well as leading international corporates on domestic matters and cross-border transactions.

Ms. Hui graduated with a Second Upper Class Honours in Law from the National University of Singapore and qualified as an advocate and solicitor in the Supreme Court of Singapore in 2011.

Professional Background

Prior to joining the firm, Ms. Hui served as an associate at an international law firm where she advised on listed company takeovers and delistings, sale and acquisition of assets and shares, business transfers and joint ventures.

Corporate / Mergers & Acquisitions
  • Acted for Petra Foods Limited, a Singapore-listed company, in the sale of its global cocoa ingredients business to Barry Callebaut, the world’s leading manufacturer of high-quality cocoa and chocolate products, in a deal worth approximately US$950 million. The business had a significant global footprint across four continents with cocoa bean-grinding capacity in seven processing factories, and four sales offices.
  • Acted for Dimension Data in the acquisition of the telecommunications business of Jebsen & Jessen, which included operations in Indonesia, Malaysia, Philippines, Singapore and Thailand. This acquisition enabled Dimension Data to become the only system integrator with in-depth capabilities in Cisco, Avaya and Microsoft.
  • Acted for a family office in its sale of its portfolio of childcare and education centres to a Chinese investor with a minority stake being retained by key management.
  • Assisted Alibaba as Singapore counsel and conducted due diligence on Singapore-incorporated companies as part of its acquisition of a majority stake in Lazada, in a deal worth approximately US$1 billion.
  • Assisted Ant Financial, a fintech-focused Alibaba affiliate, as Singapore counsel and conducted due diligence on Singapore-incorporated companies as part of its acquisition of helloPay, a payments firm attached to Lazada.
  • Acted for Genting Plantations in its acquisition of oil palm plantations located in South Kalimantan, Indonesia, from Lee Rubber, in a deal worth approximately US$95 million.
  • Assisted the founders of Maaji, a South American bikini brand, as Singapore counsel in the sale of a controlling stake in the business to L Catterton Asia, the private equity firm backed by luxury goods house LVMH. This transaction involved restructuring of the business to be held by a Singapore-incorporated company prior to the completion of the acquisition.
  • Acted for the Port Authority of Singapore in its disposal of the Jurong Island crude oil pipelines, which involved extensive negotiations.
  • Acting for Baring Private Equity Asia in its acquisition of the tertiary education business of PSB Academy for an undisclosed sum, which involved a competitive bid process.
  • Assisted TPG in its US$30 million investment into Apollo Towers, a Singapore holding company for a Myanmar telecommunications tower construction business.
  • Acted for Harvey Norman Singapore in its privatisation of Pertama Holdings Limited, a Singapore listed company.
