Mr. Tan’s practice is active in all areas of corporate and commercial law, with a particular focus on mergers and acquisitions, joint ventures, initial coin offerings, fund raising, equity capital markets, corporate finance, insolvency and restructurings. He is a recognized practitioner in the area of Corporate and Mergers & Acquisitions in The Legal 500, which notes that he is “technically excellent”, “possesses impressive intellectual capability” and “acts as a caretaker of the transaction as if it were his own.”

Mr. Tan has acted for corporate clients across a broad range of industries, including energy, mining, manufacturing, life sciences, technology, and financial services. These include financial institutions, Fintech startups, fund investment managers, government-linked entities, multinational corporations and nominated advisers. He has extensive experience in cross border transactions, having advised in transactions across Asia and the rest of the world.

In the Fintech space, Mr. Tan’s experience has been extensive and he has represented numerous companies located in multiple jurisdictions around the globe which operate in the Fintech ecosystem.

Professional Background

Mr. Tan started his career at one of the largest local law firms in Singapore. Prior to joining K&L Gates, Mr. Tan worked in the Singapore office of another international law firm.

Achievements

  • Mr. Tan obtained a Master of Corporate Law from Cambridge University where he graduated with First Class Honours. He was awarded the Hogan Lovells Prize by the University for graduating at the top of his class, and the Jennings Prize by Wolfson College, Cambridge for academic excellence.
  • Listed as a recommended Corporate and Mergers & Acquisitions Lawyer in the 2019 edition of Asia Pacific Legal 500.

Corporate / Mergers & Acquisitions
  • Advised a leading Singapore satellite communication and sensor systems company, in relation to the global due diligence exercise on a US-based technology company that has offices and assets in the US, China and Taiwan.
  • Advised Noble Corporation plc in relation to the acquisition and related vendor financing of two GustoMSC CJ46 self-elevating A1 MODU (jack-up rigs) for US$93.75 million each from PaxOcean Group.
  • Advised a visa processing business in relation to its proposed sale to a large Swedish private equity group for approximately US$350 million. The transaction involved the restructuring of corporate entities in the Middle East, UK and Russia.
  • Advised Keresa Plantations Sdn Bdn (Keresa), a Malaysian oil palm plantation company, in relation to its US$1.5 million investment in EE-Terrabon Biofuels, LLC (EER), a company focused on commercialising bio-based chemicals and fuels and green alternatives to petroleum-based products.
  • Advised a Middle Eastern Sovereign Wealth Fund in relation to the strategic acquisition of a stake in two ports and container terminals located in India for US$178 million.
  • Advised a Middle Eastern Sovereign Wealth Fund in relation to the proposed investment of US$75 million into the development of logistics warehouses in China.
  • Advised an Indonesian company in relation to the US$63 million acquisition of a Hong Kong company which holds a number of telecommunications and media assets in Indonesia.
  • Advised Nova Satra DX Pte Ltd, a molecular diagnostics and life sciences company, in relation to an investment and acquisition of a minority stake in the company by Malaysian conglomerate Genting Group.
  • Advised Visa Global Logistics, an Australian freight forwarding and customs company in relation to its acquisition by way of share swap of a minority stake in a Singapore-based freight forwarding business.
  • Advised a number of Indonesian entities in relation to the reverse takeover of a company listed on the main board of the London Stock Exchange (LSE), along with the concurrent US$3.3 billion acquisition by the LSE listed entity of substantial stakes in two of the largest Indonesian coal mines.
  • Advised Fertility Associates in respect of its proposed majority investment into Sunfert International Fertility Centre Sdn Bhd, a company which runs IVF clinics in Malaysia.
  • Advised NetNames Group Limited, a global company specialising in online brand protection and corporate domain name management in respect of its acquisition of Adicio Pte Ltd, a company specialising in corporate domain name management in Singapore.
  • Advised the Indonesian arm of a U.S. based private equity firm on the US$350 million acquisition of a substantial stake in an Indonesian company along with the concurrent US$500 million acquisition by the Indonesian company of an Indonesia based coal mining contractor.
  • Advised a Chinese company in relation to the SGD275 million acquisition of a residential property project in Singapore.
  • Advised a fund based in Hong Kong in respect of its proposed investment and acquisition of a controlling stake in a company listed on the AIM market of the London Stock Exchange.
  • Advised a leading British defence company which is a manufacturer and supplier of precision optical and electro-optical equipment and associated components, on the divestment of its majority interest in its Singapore subsidiary.
  • Advised Ampco-Pittsburgh Corporation, a US steel manufacturer listed on the New York Stock Exchange in respect of its acquisition of Åkers AB, a Swedish producer of steel rolls.
  • Advised a company listed on NASDAQ Dubai in respect of its SGD105 million voluntary general offer for all the outstanding shares of a company listed on the Singapore Stock Exchange (SGX) main board.
  • Advised a company listed on Catalist, the junior board of the SGX, in respect of its SGD285 million reverse takeover by a company listed on the Malaysian Stock Exchange.
  • Advised Gadget Repair Solutions Ltd, a UK company specialising in the provision of gadget repair services for smart phones, laptops, notebooks, mobile phones, MP3 players, and tablets, in relation to the establishment of a joint venture company in Malaysia together with the Holland-based After Sales Group and Malaysia based FoneAsia Sdn Bhd.
  • Advised a company listed on the SGX main board on the SGD75 million acquisition of a bakery and café / bistro food chain in Asia, as well as the extension of a SGD52 million secured term loan facility by an international bank in connection with the acquisition.
  • Advised a company listed on the SGX main board on the US$45 million acquisition of a substantial stake in a company operating an oil pipeline in China.
  • Advised a Singapore company in respect of its US$35 million investment in an independent gas development and production company focused primarily on gas field development in Nigeria and Canada.
  • Advised a company listed on the Australian Securities Exchange main board, on the SGD32 million acquisition of a Singapore company operating a number of port terminals in China.
  • Advised a UK company in respect of its US$20 million acquisition of a Malaysian geotechnical services company.
  • Advised Seatronics Pte Ltd, an oil and gas services supplier and part of the Aceteon Group, in relation to numerous equipment and supply contracts.
  • Advised a number of private equity funds predominantly focusing on investments into the clean energy, natural resources and oil and gas sectors in Asia.

  • Advised Global Invacom Group Limited, a satellite equipment provider listed on the mainboard of the Singapore Exchange Limited (SGX), on its successful listing on the AIM market of the London Stock Exchange, the first dual listing of its kind.
  • Advised Heng Fai Enterprises Limited, a company listed on the main board of the Hong Kong Stock Exchange in respect of its proposed secondary listing on the AIM market of the London Stock Exchange.
  • Advised Allenby Capital Limited, a nominated adviser and broker in respect of the proposed listing of a Myanmar power and infrastructure group on the AIM market of the London Stock Exchange.
  • Advised a sports mobile app developer in respect of its Series A Fund Raising.
  • Advising a Singapore based medical devices company in respect of its Pre-IPO fund raise.
  • Advising a Singapore-based provider of IT and market research solutions in respect of its proposed private fund-raise.
  • Advised a UK based aviation venture capital company on its proposed Pre-IPO fund raise.

  • Advising Quarkchain Foundation Ltd in relation to their initial coin offering which successfully raised US$20 million from 21,000 token purchasers.
  • Advising a time banking company operating a 2-sided app-based social marketplace for skills & services where the currency is time in structuring an initial coin offering.
  • Advising a U.S. based FinTech company in respect of its plans to set up a universal wallet for cryptocurrencies and which allows for the seamless exchangeability of fiat and cryptocurrencies.
  • Advising a FinTech company regarding the proposed establishment of a cryptocurrency exchange in Singapore.
  • Advised an international bank in its settlement with the receivers in charge of unwinding a SGD10 billion secured note program.
  • Advised a U.S. company concerning the refinancing of a SGD5.4 billion loan facility by a syndicate of international banks.
  • Advised a Singapore company regarding its default of a US$250 million syndicated term loan facility and its subsequent corporate restructuring through a scheme of arrangement.
  • Advised an Indonesian company concerning the extension of a US$200 million secured credit facility by an international bank for the acquisition of a substantial stake in an Indonesian company that owns and operates a barge port facility in Indonesia.
  • Advised Platinum Partners Liquid Opportunity Master Fund L.P. and Platinum Partners Value Arbitrage Fund L.P. in multiple secured financing transactions involving Indonesian companies in the areas of telecommunications, energy and agriculture.
