Recognized as one of Singapore’s Top 100 lawyers on Asia Business Law Journal’s The A-List, Mr. Hanna has a particular focus on equity capital markets, private equity, joint ventures, Fintech, initial coin offerings, mergers and acquisitions. He currently advises on numerous fund raises for companies seeking growth capital in particular. He also regularly advises multinational corporations with regards to regional investments in Asia.

Additionally, Mr. Hanna also advises on structuring private equity funds and other methods of alternative finance including private placements and convertible bonds.

Mr. Hanna acts for a broad range of industries including life sciences, healthcare, social media, micro-lending, e-payments, oil and gas, renewable energy, mining, financial services, defense, aviation and manufacturing.

Professional Background

Prior to joining K&L Gates, Mr. Hanna was practicing law in London for 11 years before coming to Asia as the head of Equity Capital Markets and co-head of Corporate in the Singapore office of a reputable international law firm. He has been working on transactions in Asia and living in the region for over a decade.

  • Advised a leading Singapore satellite communication and sensor systems company, in relation to the global due diligence exercise on a US-based technology company that has offices and assets in the US, China and Taiwan.
  • Advised Keresa Plantations Sdn Bdn (Keresa), a Malaysian oil palm plantation company, in relation to its US$1.5 million investment in EE-Terrabon Biofuels, LLC (EER), a company focused on commercialising bio-based chemicals and fuels and green alternatives to petroleum-based products.
  • Advised Nova Satra DX Pte Ltd, a molecular diagnostics and life sciences company, in relation to Genting Group’s acquisition of an equity stake in the company.
  • Advised Visa Global Logistics, an Australian freight forwarding and customs company in relation to its acquisition by way of share swap of a minority stake in a Singapore-based freight forwarding business.
  • Advised a Middle Eastern Sovereign Wealth Fund in relation to its proposed acquisition of a minority stake in a couple of port projects in India.
  • Advised a US steel manufacturer listed on the New York Stock Exchange in respect of a Swedish producer of steel rolls.
  • Advised a fund based in Hong Kong in respect of its proposed investment in a company listed on AIM.
  • Acted for Gadget Repair Solutions Ltd, a UK company specialising in the provision of gadget repair services for smart phones, laptops, notebooks, mobile phones, MP3 players, and tablets, on its joint venture in Malaysia with Holland-based After Sales Group and Malaysia based FoneAsia Sdn Bhd.
  • Acted for SapuraKencana Petrol Berhad in Malaysia in its US$550 million private placement with CIMB Bank and Maybank relating to 18 tender drilling rigs purchased from Seadrill. This was alongside the US$1.85 billion loan facility.
  • Acted for a Singapore based aviation and defense company as its international legal counsel advising on the English law aspects of possible alternative means of raising capital.
  •  Acted for Israeli and Russian clients in their joint venture negotiations with a Chinese entity seeking opportunities in natural resources in Asia.
  • Acted for AEC International, an AIM listed company, in its divestment of one of its subsidiaries to the Pearson Group.
  • Acted for Markham Agro Pte Ltd as its international legal counsel advising on the English law aspects of its convertible bonds issue to Singaporean private investors and the Bahraini government's private investment funds.
  • Acted for Seatronics Pte Ltd, an oil and gas services supplier and part of the Aceteon Group, as its international legal counsel advising on the English law aspects of numerous equipment and supply contracts.
  • Acted for Subsea Engineering Services Pte Ltd, an oil and gas supplier of diving (SAT systems) and Remotely Operated Vehicle (ROV) site services as its international legal counsel advising on the English law aspects of its engineering, procurement, construction and installation (EPCI) contracts.
  • Advised a number of private equity funds predominantly focusing on investments into the clean energy, natural resources and oil and gas sectors in Asia.
  • Advised a leading British defence company on its divestment of interest in its Singapore subsidiaries.
  • Advised a Dubai based entity financing the construction of a US$450 million cement plant in the United Arab Emirates.
FinTech / IPO Listings
  • Advising Quarkchain Foundation Ltd in relation to their initial coin offering which successfully raised US$20 million from 21,000 token purchasers.
  • Advising a time banking company operating a 2-sided app-based social marketplace for skills & services where the currency is time in structuring an initial coin offering.
  • Advising a U.S. based FinTech company in respect of its plans to set up a universal wallet for cryptocurrencies and which allows for the seamless exchangeability of fiat and cryptocurrencies.
  • Advising a FinTech company regarding the proposed establishment of a cryptocurrency exchange in Singapore.
  • Advising a Malaysian rubber recycling company on its Pre-IPO fund-raise as well as its proposed admission to AIM and associated placing.
  • Advising the Nomad and Broker in respect of the proposed admission to AIM of a Myanmar power and infrastructure company.
  • Advising a UK scrap metal recycling business in respect of its Pre-IPO fund raise and its proposed admission to AIM.
  • Advising a Malaysian waste water company on its proposed admission to AIM and associated placing.
  • Advising a Malaysian medical devices company on its proposed admission to AIM and associated placing.
  • Advising the Nomad and Broker in respect of the proposed admission to AIM and associated placing of a Malaysian telecoms company.

  • Acted for Global Invacom Group Limited, a satellite equipment provider listed on the mainboard of the Singapore Exchange Limited (SGX), as its international legal counsel advising on the English law aspects of its successful listing on the AIM market of the London Stock Exchange, the first dual listing of its kind.
  • Acted for a mining company with assets in Australia and Bangladesh seeking admission to AIM.
  • Acted for a Singapore oil and gas services company as its international legal counsel advising on the English law aspects of a PLUS IPO listing in London.
  • Acted for an Indonesian oil and gas services company seeking to expand its operation and raise up to US$20 million by way of an AIM listing.
  • Acted for a Malaysian palm oil plantation company seeking a listing on AIM.
  • Acted for a Malaysian glass bottling company seeking a listing on AIM.
  • Acted for Allenby Capital in their Nominated Advisor role in connection with the successful AIM listing of All Asia Asset Capital onto AIM.
  • Acted for PT Semen Batajura in Indonesia in its international offering and IPO roadshow outside Indonesia.
  • Acted for a Chinese company seeking a dual listing on the Main Board of the SGX and the Main Market of the London Stock Exchange. This was the first Singapore listed company to consider a dual listing on the London Market.
  • Acted for a UK wind farm producer with operations in Chile and South East Asia in its AIM London listing.
  • Acted for a group of British Virgin Islands (BVI) and Chinese companies seeking listings on AIM in the service sector.
  • Acted for a BVI company listed on AIM investing into the financial services sector in Asia.
