Represented Cindat Best Years (US) LLC, in connection with the acquisition of 28 senior housing and long-term/post-acute care facilities by a joint venture between Welltower Inc. (NYSE: HCN) and Cindat Best Years (US), LLC, (a joint venture between Cindat Capital Management and Union Life Insurance Co. Ltd., a China-based insurance company) for approximately US$900 million.
Represented Merrill Gardens L.L.C. in the sale of its Eastern division (46 senior housing properties) to CSH Master Care USA, Inc., a subsidiary of Chartwell Seniors Housing Real Estate Investment Trust (TSX: CSH.UN).
Represented a Chicago-based health system in the asset acquisition of four nursing homes and two continuing care retirement communities from Catholic Charities of Chicago valued at over US$100 million.
Represented R.D. Merrill Real Estate Holdings, L.L.C. in the formation of two joint ventures with Heitman Value Partners II, LLC, to develop, operate, and lease senior housing facilities.
Represented Emeritus Corp. prior to the company’s merger in its acquisitions, development, and dispositions of individual properties and portfolios of senior assisted-living facilities.
Advised the Australian-based Department of Health in cases where aged care operators are in financial distress and financiers with due diligence matters relevant to funding proposed transactions as well as contractual matters in relation to the same.
Advised numerous for-profit and not-for profit entities across Australia such as Aveo, Opal Aged Care, Anglican Aged Care Services Group, Uniting Aged Care, Benetas, The Salvation Army, Group Homes and Illawarra Retirement Trust in relation to a range of matters including contracting, corporate governance and regulatory advice.
Represented a United Kingdom-based retirement village developer and provider in an investigation into the charging of exit fees on retirement housing, in adjusting their standard documentation to make them more appropriate to regulator’s requirements.
Represented Germany-based operators of nursing homes and assisted living facilities in complex lease agreements and regulatory matters.
Represented RDM Housing Strategies V, LLC in its new joint venture SHI-III Merrill Development JV LLLP, with a fund managed by AEW Capital Management to fund senior housing projects.
