Gregor Ordon is a partner in the firm’s Warsaw office. His practice focuses on banking and finance, insurance law, capital markets, and Central and Eastern European transactions. He also has extensive experience in regulatory law, with an emphasis on cross-border banking and brokering and complex M&A transactions. Within the scope of the German Desk he provides comprehensive advice in German maintaining excellent relationships with German, Austrian and Swiss market players active in Poland and the CEE (including arbitrators, law firms and bankruptcy receivers).

Professional Background

Prior to joining K&L Gates, Dr. Ordon was a partner and head of the banking and finance practice at another international law firm in Warsaw. Before that he was with a major international law firm in Frankfurt, Germany. He also gained valuable experience as an in-house lawyer in the legal department during his secondment to UBS Warburg in the U.S. (New York, Stamford, CT).
He advised investment, commercial and universal banks, as well as brokerage houses in the regulated sectors on all aspects of domestic, European, and international banking, securities, and capital markets law. In addition, his field of practice expands into sophisticated M&A deals. In the last few years he has also focused on large infrastructure projects where he provided comprehensive advice on all project-related legal aspects including public procurement, contract law and compliance issues.

  • Providing comprehensive legal advice to a global leader and its Polish subsidiary in the embedded computing technology sector, covering almost all legal fields including litigation, criminal law, corporate, M&A, IT/IP, employment, public procurement, financing, tax and sector specific regulations in connection with a corporate restructuring.
  • Providing the full scope of legal advice to an international ITS supplier and system integrator in relation to a national toll system. Advised a consortium which designed, implemented and operates an electronic toll collection system, the largest, most technologically advanced intelligent transportation system project in Poland.
  • Advising a major global banking group in an insolvency and restructuring matter in relation to NPLs and specific insolvency receivables. Counsel includes due diligence concerning insolvency claims and insolvency and restructuring related advice on the acquisition of non-performing loans (NPLs).
  • Advising group companies of one of the leading suppliers of wood based products on the restructuring of non-performing loans. The legal assistance provided to the Polish group companies included comprehensive financial arrangements, conducting negotiations with seven financing institutions and a public agency with respect to the restructuring.
  • Advising a German manufacturer and service provider in the field of renewable energy on the acquisition of shares in two Polish companies and on operations in the renewable industry sector. The advice included structuring of the deal as well as the financial restructuring of the target.
  • Providing ongoing advice to a global leader in design, manufacturing, and distribution of electronic equipment and aftermarket services on the joining of its Polish branch to a Master Receivables Purchase Agreement with a major French bank. Advising and opining on complex issues relating to the assignment agreements to be concluded by the Polish branch under US law and on claims governed by Swedish law.
  • Advising a leading Austrian bank on the restructuring of financing for the owner of several shopping malls in Poland.
  • Advising a leading Austrian bank in connection with financing the acquisition of shares in an SPV, the owner of a major private hospital in Poland. The transaction involved an investment loan for the acquisition of the hospital as well as an elaborated corporate restructuring (including step-up liquidation).
