Heather Bethancourt’s practice focuses on outsourcing, technology, and telecommunications transactions. Her experience includes representing clients in information technology and business process outsourcing transactions with an emphasis on human resources issues in such transactions. In addition, she represents clients in strategic supply agreements, manufacturing and distribution agreements, technology licensing, trademark licensing, technology maintenance and service agreements, technology development, software as a services (SaaS) arrangements, and strategic alliances. She also advises clients on technology and intellectual property issues that arise under other corporate transactions such as mergers and acquisitions and joint ventures.

Heather has represented clients from the financial services, health care, energy and utility, retail, technology, and telecommunications industries.

Prior to attending law school, Heather worked for six years with an employment services firm negotiating and managing employee outsourcing relationships with information technology and manufacturing companies.

  • Represented Sprint Nextel Corporation in its acquisition of next generation wireless infrastructure equipment to be used to upgrade Sprint’s nationwide wireless network.
  • Represented Diversey, Inc., a leading global provider of commercial cleaning and hygiene solutions, in negotiating its business process outsourcing arrangement with Genpact International for Genpact to provide Diversey a broad range of finance and accounting services.
  • Represented Xcel Energy in a Nuclear Services Agreement between Xcel Energy and Bechtel.
  • Represented BBVA Compass Bank in a software development transaction with Accenture for a new core banking software platform to run all BBVA Compass banking matters, and all of BBVA's affiliate banks, in North America.
  • Represented Xcel Energy, a major U.S. electricity and natural gas company operating in eight states, in the negotiation of a procurement and logistics outsourcing contract.
  • Represented Blockbuster in negotiating a contract with T-Mobile for the development, licensing and support of a mobile application enabling delivery of Blockbuster content on smartphones manufactured by HTC.
  • Advised Texas Instruments Incorporated in its $6.5 billion acquisition of National Semiconductor Corporation.
  • Advised Attachmate Corporation in the $2.2 billion acquisition of Novell, Inc. and a related $450 million sale of intellectual property assets to a consortium led by Microsoft Corporation.
  • Advised Exchange Income Corporation, a diversified acquisition-oriented company, in connection with its CAD$79 million acquisition of Westower Communications, a privately-owned company that designs, builds, maintains, and services wireless phone and other communications towers throughout North America.
  • Advised Zoran Corporation in its merger with CSR plc for $679 million.
