James Wright is a partner in the firm’s Boston office, where he is a member of the Restructuring and Insolvency practice group. He focuses his practice on representing corporations, bondholders, private equity funds, hedge funds, institutional investors, and other interested parties in corporate restructurings, both in and out of court, with an emphasis on large chapter 11 cases.

Mr. Wright has represented clients in a variety of matters, including representing: debtors in stand-alone reorganizations, sales of assets, and liquidations in chapter 11; corporations, private equity funds, and hedge funds as stalking horse and competing bidders in section 363 asset sales; various creditors in adversary proceedings and contested matters regarding claim allowance, setoff rights, and plan confirmation; and private equity funds in out-of-court restructurings of portfolio companies. He also frequently provides advice regarding investments in distressed and potentially distressed companies.

Professional Background

Prior to joining the firm, Mr. Wright was counsel in the Boston office of a global law firm. He concentrated his practice on debtor-in-possession & committee representations, bankruptcy litigation, and 363 sales.

Distressed Companies

  •  Represented Doral Financial Corporation, a former bank holding company, in a chapter 11 case in New York, involving over $200 million in unsecured debt.
  • Represented CHL, Ltd./Contec, LLC, a provider of repair services for customer premise equipment to the broadband industry, in a prepackaged chapter 11 reorganization in Delaware, involving the restructuring of over $350 million in secured and unsecured debt.
  • Represented Northern Berkshire Healthcare, Inc., a healthcare service provider and hospital, in a chapter 11 reorganization in Massachusetts, involving the restructuring of over $43 million in secured, tax-exempt bond debt.
  • Represented Holley Performance Products Inc., a manufacturer of high-performance auto parts, in a chapter 11 reorganization in Delaware, involving the restructuring of over $70 million in first and second lien debt. James also represented Holley in an earlier prepackaged chapter 11 reorganization that restructured over $165 million in first and second lien debt.
  • Represented Oscient Pharmaceuticals Corp., a commercial-stage pharmaceuticals company with over $75 million in secured debt, in 363 sales of its assets and a chapter 11 plan of liquidation in Massachusetts.
  • Represented Silicon Graphics, Inc., a manufacturer of high-performance computers with over $160 million in secured debt, in a 363 sale of its business in New York.

Creditors' Committees

  • Represented the Official Committee of Unsecured Creditors in LINN Energy, LLC, an independent oil and natural gas production company in Chapter 11 in the Southern District of Texas, involving approximately $8.3 billion in debt obligations.
  • Represented the Official Committee of Unsecured Creditors of Magnum Hunter Resources Corp., an independent oil & gas exploration and development company in Chapter 11 in the District of Delaware, involving approximately $1 billion in secured and unsecured debt obligations.
  • Represented the Official Committee of Unsecured Creditors of Wellman, Inc., a manufacturer of plastic resin with over $750 million in secured and unsecured debt, in a chapter 11 reorganization in New York.

Bankruptcy Litigation

  • Represented Elliott Management, a hedge fund, in the New York chapter 11 bankruptcy cases of Relativity Media, a film and television studio, regarding Elliott’s subordinated debt claims for $137 million, fraudulent conveyance claims against Elliott relating to prepetition transactions, and a debtor-in-possession financing facility.
  • Represented a Boston-based hedge fund in an adversary proceeding in New York involving Lehman Brothers Holdings Inc. and various entities affiliated with CitiBank, regarding breach of contract and related claims for $200 million+ relating to alleged derivative transactions on the eve of Lehman’s bankruptcy filing.
  • Represented Millennium International, Ltd, a hedge fund, in a $40 million adversary proceeding in New York against Lehman Brothers Finance, S.A., a Lehman affiliate involved in an Swiss insolvency proceeding, and KBC Bank, regarding setoff rights and breach of contract claims relating to a derivative contract.

363 Sales

  • Represented Gelson’s Markets, a private equity portfolio company, in the acquisition of certain grocery stores from Haggen Holdings in Delaware.
  • Represented Holley Performance Products Inc. in the 363 sale of a manufacturing product line in Delaware.
  • Represented Oscient Pharmaceuticals Corp. in the 363 sales of its licenses for its major pharmaceutical products in Massachusetts.
  • Represented various corporations, private equity funds, and hedge funds in connection with stalking horse and competing bids in 363 sales of assets and businesses.
