Jan Kaczmarczyk is an Associate in the K&L Gates' Warsaw office. He has extensive experience in the full range of transactional and corporate work both in Poland and internationally, including private equity practice, cross-border M&A, public procurement and offset-related practice, project finance and government practice. Jan Kaczmarczyk also has extensive experience in the defense and aviation sectors, in particular in matters related to offset projects and privatizations of state-owned enterprises, as well as in representing corporate entities and high net worth individuals in connection with private aircraft acquisitions, financing and operations.

In addition to his transactional work, Jan regularly assists clients with respect to general corporate matters including drafting and negotiating a wide range of agreements. He also devotes a part of his practice to counseling clients on pro-bono matters on a broad scope of corporate and administrative issues.

Professional Background

Prior to joining the firm, Mr. Kaczmarczyk gained experience at the Warsaw office of another leading international law firm and as a law clerk at the District Court for Warsaw.

  • Advising a leading global aircraft manufacturer in the tender for delivery of multi-role helicopters for the armed forces of the Republic of Poland.
  • Serving as the Preferred Legal Counsel to United Technologies Corporation in Poland, advising on all legal aspects of doing business in Poland, including M&A, joint ventures, general corporate work, anti-trust advice, labor law, regulatory work, public procurement and offset law.
  • Advising a leading global aircraft manufacturer in the privatization of a factory in Poland, including conducting due diligence and drafting and negotiating share purchase agreements.
  • Advising a private equity fund and a major American company in the sales process of the shares in the largest Polish credit card processing agent.
  • Assisting various leading global manufacturers and suppliers of military equipment during negotiations and implementation of offset contracts executed with the Ministry of Economy.
  • Advising a major Italian motorway operator in the course of the acquisition of a Polish listed company operating toll motorways in Poland.
  • Assisting a global pharmaceutical company in the acquisition of a major Polish pharmaceutical manufacturer, including due diligence and drafting share purchase agreements.
  • Advising a consortium of Italian and Polish companies in the bid for the construction and operation of a motorway stretch in central Poland organized by a State agency as a public-private partnership venture, including drafting and negotiating the construction and operation contracts.
  • Assisting a major German company from the conventional energy sector in the due diligence of nine power plants located in Poland in preparation for the divesting process concerning its business located in Poland.
  • Acted for numerous wind farm investors in transactions for the sale and acquisition of wind farm projects, including share and asset transactions and long-term success fee development agreements.
  • Advising a global supplier of systems and services for the aerospace and defense industries in the course of privatization of a factory in Poland including conducting due diligence, drafting and negotiating share purchase agreements and subsequent enterprise purchase agreements if singular ‘a’ should be before enterprise purchase agreements.
