Jason Krieser advises clients on all aspects of technology transactions, outsourcing matters, telecommunications and other complex commercial contracts. He is an internationally recognized advisor on business process and information technology outsourcing matters, including offshore outsourcing. He also handles technology development and licensing matters, joint ventures, key supply and distribution agreements, manufacturing arrangements, strategic alliances, ecommerce matters and other technology transactions. He has handled cloud computing and software as a service (SaaS) transactions for licensors, licensees and cloud infrastructure providers for nearly a decade.
Jason is the co-author of a legal treatise on outsourcing law titled “Outsourcing: Law and Business” published by Law Journal Press (the treatise publishing arm of American Lawyer Media). This treatise gives detailed treatment to all material legal and business issues associated with outsourcing transactions. The treatise also covers changes in the outsourcing industry (e.g., cloud computing and smaller transactions) and suggests new tools and a “modern approach” for dealing with these changes. Represented Sprint Nextel Corporation in its acquisition of next generation wireless infrastructure equipment to be used to upgrade Sprint’s nationwide wireless network. The transaction involved the purchase of equipment and implementation services from Samsung, Alcatel-Lucent and Ericsson. The project includes the purchase of multi-modal base stations capable of supporting advanced 4G LTE wireless technologies.
Represented American Electric Power in the negotiation of an outsourcing agreement with Alliance Data Systems for customer care services.
Represented BBVA Compass Bank in a software development transaction with Accenture for a new core banking software platform to run all BBVA Compass banking matters, and all of BBVA's affiliate banks, in North America.
Represented National City Bank in the negotiation of a business process outsourcing agreement with Accenture.
Represented Electronic Data Systems Corporation in the negotiation of a seven year information technology master services agreement with Black & Veatch Corporation.
Represented EDS in the negotiation of an information technology outsourcing services agreement with the United States Federal Reserve Bank.

Represented Sprint Corporation in the negotiation of a finance and accounting business process outsourcing services agreement with ACS.
Advised Micron Technology in the formation of IM Flash Technologies, a $5.2 billion joint venture with Intel Corporation.
Represented Blockbuster in negotiating a contract with T-Mobile for the development, licensing and support of a mobile application enabling delivery of Blockbuster content on smartphones manufactured by HTC.
Advised SunPower Corporation, a Silicon Valley-based manufacturer of the world's highest-efficiency, commercially available solar cells and solar panels, in its $332.5 million acquisition of PowerLight Corporation.
Represented Homecomings Financial, a GMAC-RFC real estate finance company, in the negotiation of a business process outsourcing agreement to manage the mortgage application review process.
Represented Homecomings Financial in the negotiation of a license agreement for mortgage servicing software.
Advised The Weir Group PLC in its $653 million acquisition of SPM Flow Control, Inc.
Represented RealFoundations, a leading real estate technology consulting company, in the negotiation of a five-year utility management agreement with the owner of more than 70 shopping mall properties across the U.S.
Advised FirstEnergy Corp. on its $57.47 million Smart Grid Investment Grant and related contracts.
Advised Oklahoma Gas & Electric on its Smart Grid Investment Grant for $130 million from the U.S. Department of Energy.
Advised investors with their acquisition of a license of technology to assist shoppers, retailers and advertisers with the in-store shopping process. This shopping cart technology provides in-cart advertisement targeting products near the shopper at a point in time, and targeting prior purchases by that shopper.
Represented SNRLabs in its agreement with Intel Corporation to provide SNRLabs’ Advanced Connection Management for Intel’s next generation mobile chipset platform to be utilized in smartphones, tablet PCs, netbooks, notebooks and other mobile devices.
Advised Mercury Interactive Corporation in its acquisition of the outstanding capital stock and warrants of Tefensoft Inc.
Advised Kaiser Aluminum Corporation in connection with its acquisition of the Nichols Wire facility in Florence, Alabama which manufactures bare mechanical alloy wire products, nails and aluminum rod for aerospace, general engineering, and automotive applications.
