Mr. Prentice is a corporate and transactional lawyer with more than 20 years' front end experience across projects and infrastructure. Mr. Prentice acts for public and private sector clients across a number of industries including infrastructure, ports, airports, aviation, aerospace and defence. He has experience with PPP/PFI transactions, Privately Financed Projects (PFP), project and asset financing, procurement, service and operating agreements, outsourcing, privatisation, buy/sell agreements, and bespoke contracts addressing specific commercial requirements.

Mr. Prentice has substantial domestic and global experience having advised clients in Australia, the United Kingdom, Europe and the Middle East. Mr. Prentice is also a past chairman of the Infrastructure Association of Queensland.

Mr. Prentice is a former Naval Officer and has practised continuously in the defence sector since his admission as a lawyer. He has a thorough understanding of defence culture and has advised both government and private clients within the sector.

  • Advised the Queensland Government on the Sunshine Coast Hospital PPP and collocated private hospital.
  • Advised the Queensland Government on the SEQ Schools project.
  • Advised the Queensland Government on the Southbank Education & Training Precinct PPP.
  • Advised the preferred bidder on the Belfast Cancer Hospital PFI (Northern Ireland).
  • Advised the lead arranger on East Anglia Courts PFI (UK).
  • Advised RBS on Sussex Police Authority, Integrated Custody Centres PFI (UK).

Economic & Transport Infrastructure PPPs

  • Advised Babcock & Brown on all project aspects of its bid in relation to Brisbane Airport Link PPP.
  • Advised the Queensland Government in relation to Project Vista, high speed broadband network.
  • Advised the project company on the development of an ethanol plant, Dalby Bio Refinery.
  • Advised Macquarie Bank on the UAE’s first PPP - Industrial City of Abu Dhabi II PPP.
  • Advised the Cypriot Government on the new international airports at Larnaka & Pafos - Larnaka & Pafos International Airports PPP.
  • Advised the Cypriot Government in relation to this aborted port project - Larnaka Port PPP. 
  • Advised the signalling sub contractor on project financing issues in relation to London Underground PPP (UK).
  • Advised a bidder in relation to construction and operations sub contract arrangements - DLR Extension, Woolwich Arsenal PFI (UK).
  • Advised the lead arranger on administration of the project financing of the London Eye (UK).
  • Advised the hydrant company (a consortium of six oil majors) on the project financing of a new fuel tank farm and hydrant facilities at Heathrow Airport.

Defence PPPs

  • Advised the Ministry of Defence on Armoured Vehicles Training Service (AVTS) PFI (UK).
  • Advised the Ministry of Defence on Defence Fixed Telecommunications Service PFI (Germany).
  • Advised a bidding consortium on Defence Sixth Form College PFI (UK).


  • Advising a contractor in relation to Army M1A1 Abrams tanks AGT 1500 MRO requirements.
  • Advising a defence contractor extensively on RAAF engine MRO requirements across the F-111, Hornet, Super Hornet and Joint Strike Fighter programs.
  • Advising defence contractors in relation to Commonwealth facilities agreements, aircraft and components maintenance and supply contracts.
  • Advising the RAN on the refit and repair of numerous ship classes and on related supply and services contracts.
  • Advising the RAN and contractors on a range of outsourced personnel training contracts, training equipment supply contracts and training support contracts.
  • Advising on the disposal of decommissioned military aircraft and vessels.
  • Advising on explosives contract for the sinking of HMAS BRISBANE as a diving wreck.
  • Advising on RAN port services contracts, ships provisioning, fuel supply and providores contracts.
  • Advising on defence PPP projects.

Airports and Ports

  • Advising Brisbane Airport Corporation on a broad range of stream construction, service, and property requirements. Mr. Prentice has also advised on bespoke contractual requirements including terminal redevelopments and on a range of projects required for the 2014 G20 Summit.
  • Advising Port of Brisbane on competition and structuring issues associated with the proposed development of new terminal facilities.
  • Advising Port of Brisbane on the expansion of the export coal handling facility and on the reconfiguration and development of the cement terminal.
  • Advising National Australia Bank on due diligence for the potential financing of numerous bulk handling port terminals.
  • Advising Dalrymple Bay Coal Terminal Capital Dredging, Stage 7 Expansion on contractual arrangements and tendering requirements for the Stage 7 expansion capital dredging works.
  • Advising Heathrow Hydrant Company Limited (HHCL) Restructuring (UK) in relation to the restructuring of the commercial arrangements pertaining to the Joint User Hydrant Installation (JUHI) at Heathrow Airport.
  • Advising on the development of new MRO facilities adjacent to RAAF Base Amberley.
  • Advising CareFlight on the commercial and operational arrangements associated with the development of new hangar and apron facilities at Darwin International Airport.

Aviation and Aerospace

  • Advising Air New Zealand and subsidiary companies on a broad range of aviation procurement, operations, services and manufacturing contracts together with corporate requirements including restructuring, mergers and acquisitions, corporate deregistration and advisory work.
  • Advising CareFlight on the tender, implementation and construction of facilities for the Northern Territory Aeromedical Retrieval service.
  • Advising CareFlight on tenders for the NSW Aeromedical Retrieval Service and the West Australia resources medical retrieval service.
  • Advising CareFlight on the disposal, acquisition and financing of a range of rotary and fixed wing aircraft.
  • Advising Heathgate Resources on aircraft acquisition, financing, service and maintenance requirements.
  • Drafting a suite of standard form contracts for Air New Zealand, TAE, Safe Air Limited and Altitude Aerospace Interiors.
  • Advising private aircraft owners on acquisitions of private aircraft and helicopters, aircraft financing and operational/regulatory requirements.


  • Advised the Queensland Government on the due diligence requirements for the sale of Forestry Plantations Queensland. Drafted and negotiated the 99 year Operations Agreement.
  • Advised Macquarie Bank on the due diligence for its bid for Cairns and Mackay Airports.
  • Advised Air New Zealand on its bid for the acquisition of a Queensland Government Owned Corporation.

Resource Projects

  • Advised CGI Water on the Development Agreement for a water pipeline to the proposed GVK Hancock Mine in the Galilee Basin.
  • Advised Santos on its gateway review of the Gladstone LNG project for final investment decision.
  • Advised Santos on due diligence for the PNG LNG project.
