Ms. Salas-Morales is a partner in the corporate group of the firm. Her practice concentrates primarily in international and corporate law and includes the formation and governance of corporations, partnerships, joint ventures and limited liability companies; and the drafting and negotiation of agreements concerning (i) mergers and stock and asset acquisitions and dispositions, (ii) the financing of business entities, including debt and equity financings, letters of credit and factoring, (iii) licensing transactions, and (iv) distribution & supply arrangements. In addition to her domestic practice, Ms. Salas-Morales has counseled foreign and domestic entities on international commercial and financing transactions.

Ms. Salas-Morales is fully bilingual in English and Spanish. She currently serves as a member of the firm’s Diversity Committee and as a member of the firm’s Corporate Training Subcommittee.

Prior to joining K&L Gates, Ms. Salas-Morales practiced as an associate in a local law firm in Miami, where she represented various domestic and foreign entities and high-net worth individuals in corporate, international and tax-related matters.

  • Represented a multinational corporation in a $50MM credit facility granted by Export Development Canada.
  • Represented a large private company and its Australian and Singapore affiliates in connection with the negotiation and documentation of various private equity investment transactions collectively exceeding $120 million.
  • Represented a U.S. borrower and its Mexican and Colombian subsidiaries in connection with all aspects of the negotiation and documentation of a $70 million LaSalle Bank, N.A. factoring facility transaction.
  • Represented a distributor in connection with the negotiation and documentation of a global distribution agreement with Motorola, Inc.
  • Represented the borrower in connection with the negotiation, documentation and coordination of a global lien project whereby such borrower was required to grant liens in various countries including Australia, the United Kingdom and various countries in Latin America, the Caribbean, Europe and Asia.
  • Represented MIO Group Ltd., in connection with a $45MM secured credit facility led by Palm Beach Multi-Strategy Fund, L.P., as administrative agent.
  • Represented Bulltick Capital Markets Holdings, LP, a provider of investment banking and financial advisory services focusing on Latin America, in the sale of (MXN$47,000,000.00) of its subsidiary’s membership interests to a Mexican entity.
  • Represented a U.S. multinational corporation and its Mexican subsidiaries in connection with the negotiation and documentation of numerous financings in Mexico including, without limitation, a $35 million secured credit line granted by HSBC Mexico, S.A.
  • Represented a U.S. multinational corporation in connection with entering into joint ventures in Colombia, Uruguay and Mexico.
  • Represented Mundet, Inc., a manufacturer of cigarette tipping paper, in connection with various distribution, supply, exclusivity and licensing agreements related to transactions in the United States, Mexico and Canada.
  • Represented Sercom Solutions, Ltd., a provider of supply chain & logistics solutions, in connection with the documentation of agreements for the manufacture, supply and distribution of computer products.
  • Represented Global Med Technologies, Inc., a provider of sales and marketing solutions for medical device manufacturers, in its purchase of assets from an application service provider business specializing in blood donor management and transfusion medicine software applications.
