Kat Miller focuses her practice on investment funds, investment managers, mergers and acquisitions and corporate governance. She advises domestic and offshore private fund managers as well as institutional investors regarding investments in hedge, private equity, venture capital and other hybrid funds. She assists investment managers form funds, including master-feeder fund structures in the U.S. and overseas, and helps them to navigate complex regulatory requirements, including compliance with securities laws, SEC and CFTC rules and the Investment Advisers Act. Ms. Miller’s corporate practice includes all stages of a company’s life cycle, from formation to the sale of the business. She has represented numerous businesses of various sizes regarding corporate governance, commercial contracting issues and mergers and acquisitions.

Prior to joining K&L Gates, Ms. Miller was an associate in the corporate and investment funds and adviser departments at a law firm in San Francisco.

  • Represented a private equity manager’s $2 billion estate in the disposition of interests in private equity funds with holdings in China, India, Vietnam, Cayman Islands and the U.S.
  • Represented an investment adviser in the sale of an investment management firm with over $2.7 billion in assets under management.

  • Represented an energy company in the financing and acquisition of a solar energy project.
  • Represented a global energy conglomerate with the purchase of a surface mining manufacturing company in a transaction worth approximately $1.28 billion.
  • Representation of ship and industrial repair service provider located in San Diego, CA in connection with its acquisition by a competitor.
  • Representation of closely-held private investment group in its acquisition of an industrial parts manufacturer in Indiana.
  • Represented a retail outlet with hundreds of stores in a merger with a publicly traded company for $425 million.
  • Represented a waste management company in multiple acquisitions for various hauling operations, transfer stations and processing centers in multiple jurisdictions.
  • Represented an information technology company merge Italian operations with U.S. operations.
