Kellen Holgate is an associate in the Seattle office. His practice is focused on commercial and farmland real estate matters, including acquisition, disposition, leasing, financing, and development.

Mr. Holgate has experience with all stages of real estate transactions. He has represented buyers and sellers in drafting purchase and sale agreements, due diligence and closing. Mr. Holgate has also represented institutional and private lenders in financings of commercial and agricultural properties, as well as in judicial and non-judicial foreclosures, forfeitures and deed in lieu transactions. Kellen’s prior representation of local title companies in Eastern Washington has given him specific expertise in analyzing and resolving title issues common to rural and farmland property. In addition, Mr. Holgate has experience in water rights and regulation, including the purchase, sale, and financing of permitted and certificated water rights. Mr. Holgate has represented individuals, water users’ associations, and major irrigation districts in contractual and administrative matters, including water rights transfers and water banking issues.

In addition to his real estate and water experience, Mr. Holgate has experience with corporate governance issues common to privately held agribusiness entities, and has represented entities or their owners in mergers and acquisitions of their companies, including seller-financed transactions. He is also familiar with issues related to agricultural cooperatives and related anti-trust issues.

Prior to joining K&L Gates, Mr. Holgate was an associate at another law firm in the state of Washington where he represented agribusiness, title company, commercial, banking, and municipal clients in transactional and other matters.
