Ms. Chan has a broad spectrum of legal experience having started off her career as a general practitioner doing real estate, solicitor’s work and civil and criminal law advocacy. Her practice is now focused on non-contentious work providing advice on a range of commercial and corporate transactions matters, mergers, and acquisitions, drafting of banking and loan documentation, landlord and tenancy work, and asset finance work. Her particular interest is still real estate law, and she has assisted clients in complex sales and purchases of properties in Singapore, due diligence, property development, en-bloc collective sales, restructuring, and refinancing of assets.

She currently has a portfolio of clients in the private, quasi-government, and government sector and across a diverse range of industries such as financial services and social and welfare organisations. She is also retained in the panel of lawyers on many of the Singapore branches of foreign banks, and advises them on a myriad of Singapore law related issues including banking, commercial contracts, regulatory compliance, personal data policies, and personal law.

She has been a facilitator and trainer for the Singapore Institute of Legal Education (SILE) for many years, and has also been involved in the revision of the current version of the Real Estate syllabus for SILE. She is an active member of the Law Society of Singapore, and is currently the sports chairperson of the Law Society of Singapore and a member of the Audit & Risk Compliance Committee of the Community Foundation of Singapore.

Professional Background

Lai Foong graduated from the University of Hull, United Kingdom and is barrister at law of the Inner Temple. She was called to the UK Bar in 1991. She was admitted as an Advocate and Solicitor of the Supreme Court of Singapore in 1993. She is a facilitator and trainer at the Singapore Institute of Legal Education for Real Estate Practice.

  • Acted for Stamford Tyres Corporation Limited in their acquisition and financing of Jurong Town Corporation land at Lok Yang Way and construction of their flagship building on the said land. Transaction value estimated at SG$38 Million.
  • Sale of shares in SPV which owns a commercial building at Clemenceau Avenue. Transaction value at SG$73 million.
  • Acquisition of Singapore properties by Indian banks with presence in Singapore.
  • Acting as legal counsel for a statutory board in its negotiation and drafting of joint venture agreements with potential joint venture partners in the development of its premises in the township of Jurong.
  • Sale and purchase of manufacturing plants, factories, and businesses on JTC owned land by foreign investment companies, SME, and List Co companies.
  • Purchase and mortgage of land for development into residential units.
  • Sale and acquisition of building premises for co-operatives and societies.
  • Acted as Singapore counsel in drafting and negotiating loan security documentation for a QFB bank in relation to providing a syndicated senior term loan facility of US$140 million to one of the largest shipping companies in the world, to purchase outstanding bonds from a Norwegian bond issuer and to provide refinancing of Singapore registered ship.
  • Acted as counsel for both landlord and tenant in the drafting and negotiation of lease agreements relating to HDB, JTC, URA, and privately owned properties.
  • Acted for purchaser, a multi-conglomerate in India, in the acquisition of shares in an internet advertising platform business and involved the transfer of shares and business assets held by New Zealand and Australian subsidiaries of the Singapore target company.
  • Acted for purchaser, an international underwriter company, and continues to act in the ongoing purchase of shares of a heritage insurance company with a long history in Singapore from shareholders, in multiple tranches.
  • Acted for a purchaser, an international global wellness company with presence in India and Hong Kong, in the acquisition and establishment of spa, wellness, and aesthetic clinics in South-East Asia.
