Corporate and Transactional:
We advise clients on investment, restructuring, and outsourcing opportunities ranging from acquisitions and divestitures to strategic alliances and joint ventures. Projects include factory relocations, outsourcing, power plants, marine terminal facilities, transportation and logistics, and other infrastructure development.
Finance:
We have represented lenders and borrowers in financings throughout Latin America, including commercial lending, asset-based lending, structured finance, asset securitization, project finance, trade and commodity finance, and debt restructurings.
Taxation:
We advise multinational corporations and investors on tax matters relating to cross-border acquisitions and dispositions, VAT, joint ventures, licensing, cross-border services, cross-border distribution of products, import tariffs, holding company structures, tax treaty planning, and transfer pricing arrangements.
Litigation, Arbitration, and Investment Treaty Disputes:
We represent Latin American and multinational clients in litigation and arbitration matters arising out of contractual disputes, expropriations, bank failures, business interruption, and investigations, among others. We also assist clients in utilizing bilateral investment treaty structures to provide greater protections against local expropriation.
Regulatory:
We assist both public and privately owned U.S. companies, as well as foreign companies that list securities on U.S. markets, with U.S. Foreign Corrupt Practices Act (FCPA) related matters. In the United Kingdom, we assist companies with matters arising under the U.K. Bribery Act. We also advise multinational corporations on the U.S. Food and Drug Administration (FDA) regulatory process at every stage of the product life cycle—from planning and development, to approval and marketing, to enforcement and ongoing compliance.

Advised Brazil’s second largest generic pharmaceutical company on expanding its drug exports to the United States. Provided specifics on the regulatory requirements for obtaining U.S. FDA approval of generic drugs via the abbreviated new drug application process and provided strategic counseling on timing, costs, science, and differences from the 505(b)(2) NDA process.
Represented a Brazilian petrochemical company in a $725 million syndicated secured credit facility
Represented a Central American bank in its $270 million securitization facility backed by U.S. dollar-denominated Visa and MasterCard merchant voucher receivables.
Represented two companies in disputes with a leading state-owned oil and gas company arising out of a $3 billion turnkey contract for engineering, procurement, installation, construction, and start-up of two oil and gas field production facilities.
Restructured the operations for a $1.5 billion engineering and infrastructure corporation to maximize protection from Venezuelan expropriation risk.
Representing a U.S. Fortune 100 corporation in the media and entertainment industry with day-to-day (non- U.S.) structuring and tax planning activities throughout all of Latin America.
Advised a global baby food manufacturer, as an intermediary, on food ingredient requirements and the regulatory status of infant and baby care items in Mexico, Costa Rica, Honduras, Brazil, Guatemala, Nicaragua, El Salvador, and the Dominican Republic.
Represented one of the largest maritime terminal operations in the world in the establishment of joint ventures with a Dominican Republic consortium for the Greenfield development and operation of a $240 million deep-water port container terminal facility within a free trade zone on the Caucedo peninsula of the Dominican Republic
Represented a major oil and gas trading company in an arbitration claim against the U.S. affiliates of a leading state-owned oil and gas company in Latin America. A tribunal ordered the state-owned company to pay $640 million to the trading company to resolve the dispute.
Represented a multibillion dollar Chinese investment company in a $390 million acquisition of a Brazilian mining company.
