Orange County is a fast-growing community with a wide range of major industries and service organizations. This highly diversified region has become a center for innovative individuals to bring their ideas to commercialization in areas such as the life sciences, financial services, information technology, and health care.
Established in Irvine, California, in 1997, the Orange County office comprises partners who have deep roots in the legal and business communities and who have provided experienced counsel in corporate securities, mergers and acquisitions, general business law, intellectual property, labor and employment, commercial litigation, life sciences, and health care.
Our corporate attorneys represent companies from inception through maturity as a public company. Our experience touches on startup and mezzanine financing as well as private equity and going-private transactions. We routinely are involved in merger and acquisition transactions involving both private and public companies (including representation of offshore companies in both outbound and inbound transactions), as well as in negotiating and documenting joint venture and co-development arrangements. We have significant experience in representing public and private companies in the securities area including private and public equity and debt refinancings, reverse mergers, mergers and acquisitions, and corporate governance issues. Our attorneys, and specifically those resident in our Los Angeles and Orange County offices, have developed a series of longstanding relationships with leading industry participants and our specific experience in representing publicly-held entities trading in the US markets through reverse mergers.
Our patent counseling practice includes several professionals with advanced scientific degrees and significant industry experience. It is focused on sophisticated life science-based technologies and issues. We represent private venture-backed companies involved with emerging ideas, public companies and industry leaders seeking to maintain and protect their inventive leadership, universities seeking to protect cutting-edge research, and a private foundation which calls upon our experience in global health grant-making.
Litigation attorneys resident in the firm’s Orange County office have been involved in a variety of matters, including as part of cross-office teams. Our engagements have included resolution of claims around software piracy, enforcement of employment restrictions applicable to corporate executives, trade secret, copyright and trademark, environmental cleanup, corporate governance, and real estate development.
