Over 25 years ago, K&L Gates opened its Miami office and became one of the first national firms to enter the South Florida market. Our Miami lawyers practice throughout Florida and beyond. The focus of the Miami office practice is commercial litigation, domestic and international corporate and securities work, employment law, health law, bankruptcy and debtor/creditor matters, white collar criminal representation, international taxation, financial institutions, aviation, real estate, and electronic commerce and technology.
We resolve business disputes for our clients. We handle complex litigation for a wide range of business clients, including leading financial institutions, manufacturing enterprises, prominent retailers, health care providers, accounting firms, broker-dealers, and individuals. The lawyers in the Miami office have handled some of the most significant lawsuits in Florida. We represent business clients in a broad array of commercial disputes, including deal litigation, contract interpretation, corporate governance, real estate, class actions, employment and labor, civil rights, construction, mortgage banking, insurance coverage, bankruptcy and workouts, and products liability and toxic torts. We counsel clients in internal company investigations, and guide them through investigations by state Attorneys General or by the federal government. Our Miami litigators practice throughout Florida and have handled matters in over a dozen other states. We also represent clients in appellate matters, and our lawyers have argued in a number of appellate courts, including the Florida Supreme Court and the United States Supreme Court.
On the transactional side, the Miami corporate group provides guidance to its clients on investments, transactions and compliance matters. Our primary areas of focus include mergers and acquisitions, private equity and venture capital, corporate finance and capital markets (including public and private securities offerings), corporate governance, joint ventures and strategic alliances, cross-border transactions and general corporate services. Our clients range from large, publicly owned corporations to entrepreneurs involved in the formation and financing of start-up ventures. We help our clients secure the financing they need to grow, complete the deals that make growth a reality and comply with all the complex regulations of corporate conduct.
Our tax practice counsels multinational corporations concerning foreign tax credit planning, tax treaty analysis, tax deferral techniques, withholding tax obligations, "choice of entity" decisions, repatriation issues and transfer pricing issues, with emphasis on cross-border matters
Members of our aviation group have significant expertise representing financial institutions, corporations, high net-worth individuals and aircraft manufacturers in connection with the purchase, sale, and finance of private and commercial aircraft.
The Miami office represents a number of clients in the health care sector, including physicians and physician groups, hospitals, clinical laboratories, and a variety of other health care facilities. The Miami health care lawyers have significant experience advising their clients in complex health care transactions and regulatory matters requiring specialized skills, including acquisitions, sales, mergers, reorganizations, structuring transactions, fraud and abuse counseling, federal and state regulatory compliance, antitrust issues, and corporate governance. They also represent a number of entities in structuring and implementing managed care arrangements as well as addressing, arbitrating and litigating reimbursement issues.
We also take great advantage of our location in Miami, the commercial gateway to Latin America, and have a vibrant international practice. We represent both domestic and foreign clients in connection with inbound and outbound international transactions, with a particular emphasis in commerce with Latin America.
