Marie-Pierre Grondin is a partner at the firm’s Miami office. She is a member of the banking and asset finance practice group. Her practice focuses on aviation and satellite financing, as well as equipment leasing and related transactional work, including structured finance arrangements, private placements of debt and equity, asset-based financing, and leveraged leasing.

Ms. Grondin gained her experience both external and in-house roles advising private companies, publicly-held companies, financiers, private equity funds, aircraft and engine lessors, MROs, and other stakeholders on a variety of transactions.

Professional Background

Prior to joining the firm, Ms. Grondin served as counsel at an international law firm where her practice was primarily advising on a variety of transactions in the aviation, aerospace, real estate, corporate, and finance sectors. Prior to returning to private practice, she was responsible for all the legal aspects of the global operations for a diverse aviation, leasing, and MRO (maintenance repair and overhaul) company and all of its subsidiaries. Additionally, Ms. Grondin focused on transactional work, including: aircraft and engine purchase transactions and financing; engine leasing; parts financing (including sale-leaseback of financed inventories and flight hour contracts); mergers and acquisitions; MRO contracts and liability risk analysis; company credit facilities; general corporate and compliance matters; insurance risk analysis for a variety of business units; processing of OEM and warranty claims; debt collection; international transactional dispute resolution; and enforcement of awards analysis. Ms. Grondin has held positions both in-house for a publicly-traded real estate developer and in private practice, representing clients in real estate finance, commercial and residential real estate development and transactions, corporate governance, mergers and acquisitions, contracts, risk management, and SOX and ethics compliance.

  • Represented clients on the purchase, sale, lease, and finance of commercial aircraft and engines.
  • Advised clients on perfection of security interests for a portfolio of helicopters.
  • Represented client in acquiring an existing foreign MRO including integration of the local workforce, negotiation of OEM purchase contracts, development of customer contracts, warranty agreements and on-going maintenance GTAs, as well as the upgrade of the engine test cell.
  • Represented start-up client in setting up an on demand corporate jet company using AI technology.
  • Represented clients in the loan and lease financings of airline-operated aircraft. This includes secured loans, operating leases, and full-payout single-investor and leveraged, domestic and cross-border leases.
  • Advised client with foreign airport concession to build MRO and pilot training facility.
  • Negotiated with airline operators, lessors, and owners of aircraft and engines for maintenance and service contracts, distribution agreements, and sales and exchange GTAs.
  • Refinanced syndicated ABL credit facility over several increases, the proceeds of which were used for general corporate purposes, acquisition, and funding of future growth.

  • Developed hosted payload agreements.
  • Advising various private companies and lenders on property law issues relating to assets in space.

  • Representing space venture funds in structuring ways to secure family wealth capital to be utilized for new space technologies.
