Marisa N. Bocci

Marisa Bocci is a partner in the firm’s Seattle office. She works on a range of transactional matters, including purchase and sale agreements, joint venture arrangements, and leasing. Her practice focuses on hotel and resort properties, commercial real estate assets, agriculture/agribusiness matters, and natural resource investment activities. Ms. Bocci has extensive experience advising asset managers and institutional investors on direct investing, co-investments, joint ventures, and other investment strategies relating to real assets in a variety of sectors.

Ms. Bocci’s hospitality industry experience includes the purchase and sale of hotel properties, particularly in the luxury or full-service sector. She also works on matters relating to the golf and restaurant sectors. In addition to transactional work, she also advises on asset management issues relating to operations and handles negotiations with management companies, procurement services, and consulting and co-branding arrangements.

In the agriculture sector, Ms. Bocci has specific experience in matters relating to farmland real estate investments. She handles transactions across the country involving the purchase, sale, leasing and financing of farmland. Further, she is familiar with operational issues specific to the food packing and processing industry, including supply chain, labor, and AgTech matters. In addition, she also advises clients on agribusiness-related M&A transactions. Ms. Bocci regularly speaks and writes on agribusiness topics.

Ms. Bocci works on wind, solar, mineral, and timber portfolio matters for her institutional investor clients. Some of these activities are in conjunction with other agribusiness operations; others are standalone natural resource investments. She advises on water infrastructure projects, water rights dispositions and acquisitions (including trust arrangements), and private water share or water utility district arrangements. Of special interest, Ms. Bocci often advises clients on their Bureau of Reclamation water arrangements.

Additionally, Ms. Bocci advises non-profit clients on their real estate needs, helping them manage their real estate facilities. She advises universities, churches, hospitals, and arts organizations on real estate purchase, sale, leasing, construction, financing, and joint venture matters.

Professional Background

Prior to joining K&L Gates, Ms. Bocci was in-house counsel for a private client asset management and investment firm. Previously, Ms. Bocci was a real estate attorney at a national law firm in New York. Ms. Bocci is certified in Legal Project Management by the LPM Institute.

Commercial Real Estate
  • Advised university client on leasing matters in connection with flight school campus.
  • Represented church organization in connection with multiple congregation dissolutions and allocation of real estate assets.
  • Analyzed potential causes of action and relative strengths of a client's position with respect to a property dispute involving a large-scale, nationally recognized medical campus. Prepared shared use agreement to resolve campus use rights as between hospital and university.
  • Represented a church organization on development matters affecting its real estate assets, including joint venture relations with a property developer.
  • Advised international shipping company on the acquisition, leasing, and financing of real estate in connection with a bankruptcy action.
  • Assisted an international technology company on its facilities management and operations outsourcing agreements. Negotiated multi-national operations contracts for country-specific management needs of the client.

  • Counseled client on the acquisition of farming company and related agribusiness processing company; advised asset managers and farm managers on all aspects of post-closing real estate, regulatory, and agribusiness operations.
  • Prepared form leases for a property manager to use with respect to a multi-state agricultural land portfolio. Created leases for cash rent, flex rent, crop share and custom farming arrangements; also prepared specialty forms for hunting leases, grain bin leases and pasture leasing situations. Updated the forms annually to address changes in law and business practices.
  • Represented client in the acquisition of a large portfolio of farmland, as part of a 12-state transaction.
  • Represented client in the sale of large tracts of farmland, conducted by live-auction. Negotiated the auctioneer/brokerage agreement, prepared the bid package (including form of purchase agreement and ancillary disclosure materials), and managed all aspects of the multi-state closings.
  • Represented client on portfolio assemblage for disposition of 50 farmland assets.
  • Assisted client on cross-border acquisition of farmland in Australia.
  • Advised agricultural sustainability non-profit on various operational matters.
  • In collaboration with labor and immigration colleagues, represented client in connection with H-2A and H-2B labor agreements and housing arrangements.
Natural Resource Investment and Management Activities
  • Represented client with respect to wind farm leases, solar farm leases, and oil and gas operations (including negotiation of surface use agreements and crop damage settlements) for national farmland and timberlands portfolio.
  • Represented client in lease negotiations for private water bank facility in connection with agribusiness operations.
  • Represented client in negotiation of private water district agreements with neighboring agricultural property owners.
  • Advised clients on Bureau of Reclamation water matters, including audits of RRA filing matters.
  • Advised client on negotiation of an oil and gas operations lease and related surface use agreement for 1500+ acre tract of land in the Mountain West, maximizing value for the property while still maintaining long-term land development opportunities.
  • Represented client on long term water recharge facility lease arrangement with water district tenant.
  • Advised client on water infrastructure development projects, including pump stations, pivot, and pipeline construction activities.
  • Represented timber resource asset manager in connection with 12 state portfolio of timber land and creation of a recreational licensing program. Assisted client in creating license format for hiking, camping, hunting, fishing, foraging activities; also assisted client in creating policies for gun use, recreational vehicle registration, trespassing and hunting posting requirements, and hunting tag lotteries.
