Mr. Pisano focuses his practice on securities and mergers and acquisitions matters. He has significant experience representing corporations and investment banks in their public and private offerings, U.S. and international transactions, initial public offerings, high yield debt offerings, special product development and leveraged buyout and other acquisition financings. He also serves as a general securities law and corporate governance advisor to a variety of public companies and investment banks.

Represented the underwriters, led by Morgan Stanley and Goldman Sachs, in the initial public offering of Orbitz Worldwide;

Represented Chipotle Mexican Grill in a secondary public offering and its subsequent spin off exchange offer by McDonalds Corporation;

Represented the underwriters in high yield debt financings for Wyndham Group and Avis Budget Group in connection with the Cendant spin offs;

Represented the underwriters in several public and private offerings of senior debt securities of The News Corporation Ltd.

Represented American Express in sale of an interest in Shearson Lehman Brothers to Nippon Life with simultaneous public offering of equity of Nippon Life.

Assisted Commercial Credit in its acquisition of Primerica - Smith Barney, Primerica in its acquisition of Shearson Lehman and Travelers in its acquisition of Salomon Brothers.

Represented Merrill Lynch treasury and merchant banking and Morgan Stanley merchant banking in connection with LBO financings of Bozell Jacobs, Facet Enterprises, Cain Chemicals, Sterling Chemicals and others.

Represented Merrill Lynch in the development of TOPrs (the first trust preferred securities), COPrS (Canadian trust preferred securities), COCO LYONs (the first contingent convertible bonds) and COPA LYONs (the first contingent payment convertible bonds) and FELINE PRIDES and in multiple offerings of such securities, including transactions involving TYCO, Fortis Group, Chevy Chase Bank, Harris Bank and Trust Company, MBNA, ABN Amro and BancOne Corporation. Represented Citi, Lehman Brothers, Credit Suisse, FBR and JP Morgan in similar transactions for other issuers.

Represented the issuers or underwriters, including advising as to proper corporate governance, in initial public offerings of Barnes & Noble, Marvel Entertainment, Fox Entertainment, Infinity Broadcasting, Wright Express, Avis, Nautica, Topps, New York and Company, Jackson Hewitt, Orbitz, Firemans Fund and others. Three of these offerings represented what was at the time the largest IPO ever done.

Represented the underwriters, including Citi, Merrill Lynch, Goldman Sachs, Morgan Stanley and Lehman, in high yield offerings for numerous issuers, including Hovnanian, TNT, United Rentals, Fresh Del Monte Produce, FoxSports Net, Kaufman & Broad, Swan Brewery, Vitamin Shoppe, Universal Hospital Services and others.
