Areas of Practice
Hospital Mergers: Mergers of hospitals and other institutional providers, federal and state antitrust analysis, including preparation of Hart-Scott-Rodino filings, and preparation of all attendant state corporate and regulatory filings.
Professional Practices: Reimbursement disputes, addition and deletion of practitioners, mergers, faculty practice plans.
Integrated Delivery Systems: PHOs, HMOs, PPOs, state certification and licensing, provider contracts, corporate formation documents, and antitrust analysis and compliance matters.
Fraud and Abuse Compliance and Defense: Review and development of structural mechanisms to comply with federal antifraud and abuse rules, defense of overpayment and false claims filed by intermediaries and federal agencies, compliance programs, application to physician recruitment and other hospital-physician programs.
Medical Staff: Bylaws, contracts, credentialing disputes, medical staff hearings, recruitment programs, staff development plans.
Hospital General Corporate Matters: including contracting, director and officer matters, bylaws, and general healthcare matters (e.g. living wills, consents).
Non-Profit and Federally Tax-Exempt Organizations: Formation, organization and operation of nonprofit organizations, counseling on all related tax problems involving both public charities and private foundations, including exemption, unrelated business income and compliance matters.
Real Estate Tax Exemptions: Defense of real estate exemption challenges before county property boards and courts, preparation and filing of exemption applications for newly acquired property, defense and compliance with local non-real estate taxing ordinances.
State Administrative Law: Advice and defense of Certificate of Need challenges, Medicaid reimbursement, professional and provider licensing disputes, Insurance Department certification and licensing.
