Areas of Practice
Jamie Pedersen serves as primary outside counsel to emerging and established companies such as Pacific Medical Centers, McKinstry Co., Passage Events, Parametrix, Inc. and Washington Research Foundation. He helps his clients solve problems by understanding their businesses and coordinating their effective and efficient use of legal services. Jamie has significant experience in mergers and acquisitions, venture capital financing, and formation and structuring of business ventures. He served as the firm’s hiring partner from 2003–2005.
Jamie serves as pro bono counsel to a variety of nonprofits, including Social Venture Partners, Flying House Productions, Seattle Girls' Choir, Pride Foundation, Lambert House, Initiative for Diversity and Community Lunch on Capitol Hill. Jamie has also served as a cooperating attorney for the Northwest Immigrant Rights Project in political asylum cases.

- Passage Events. Counsel to Passage Events in private placement of Series A Preferred Stock (June 2006), Series B Preferred Stock (June 2007 and April 2008), and Convertible Notes (June 2008). Passage Events provides experiential marketing services.
- Pulsar Vascular, Inc. Counsel to Pulsar Vascular in private placement of Series A Preferred Stock (March 2006 and December 2007).
- Madrona Venture Group. Counsel to Madrona in its purchase of Series A Preferred Stock of Mercent Commerce Systems (January 2005) and of Series A Preferred Stock of iConclude Co. (August 2005).
- Integra Ventures/Affinity Ventures. Counsel to Integra and Affinity in their purchase of Series A Preferred Stock of CardioMetrix, Inc. (November 2005).
- McKinstry Essention, Inc. Counsel to Essention in seed round private placement of common stock (November 2000) and private placements of Series B Preferred Stock (July 2001) and Series C Preferred Stock (March 2003). McKinstry Essention offers online facilities management solutions.
Mergers and Acquisitions
- Hasbro, Inc. Counsel to Hasbro in its acquisition of Cranium, Inc. (January 2008). Hasbro is one of the world's largest toy and game manufacturers.
- Click Wine Group, Inc. Counsel to Click Wine Group in the sale of the Company to Winebow, Inc. (July 2008). Click Wine Group develops brands for and markets great wines from around the world in North America.
- McKinstry Co. Counsel to McKinstry in its acquisitions of Wingard & Co. (April 2007) and Ramsey Plumbing & Heating (June 2007).
- Milgard Windows. Counsel to Milgard Manufacturing and Milgard Tempering in the sale of the companies to Masco Corporation through a cash and stock merger (July 2001). Milgard is one of the nation's largest manufacturers of vinyl windows.
- Magnolia Hi-Fi, Inc. Counsel to Magnolia Hi-Fi in its sale to Best Buy Co., Inc., through a cash merger (December 2000). Magnolia Hi-Fi is the premier electronics retailer in the Pacific Northwest.
- Microsoft Corporation. Counsel to Microsoft in acquisitions of Hotmail Corporation (December 1997), Firefly Network, Inc. (April 1998), LinkExchange, Inc. (November 1998), and Jump Networks, Inc. (April 1999) through tax-deferred reorganizations.
- Starbucks Corporation. Counsel to Starbucks in acquisition of Pasqua Inc. through a cash merger (March 1999).
- Parametrix, Inc. Counsel to Parametrix in acquisition of the company by the Parametrix, Inc. Employee Stock Option Plan and Trust (November 1997; September 1999); acquisition of Merritt + Pardini, Inc. through a tax-deferred reorganization (December 1997); acquisition of the Portland operation of Pacific Rim Resources, Inc. through an asset purchase (December 2000); acquisition of the Tacoma Bridge Engineering Group (May 2002) through an asset purchase; and the acquisition of Taschek Environmental Consulting, LLC (May 2008). Parametrix provides engineering and environmental consulting services.
- Allied Trade Group, Inc. Counsel to Allied Trade Group, dba LightingUniverse.com in acquisition of The Lighting Company (September 2004). Allied Trade Group sells lighting and plumbing fixtures and related equipment online and through catalog sales and retail stores.
- Pacific Medical Centers. Counsel to Pacific Hospital Preservation & Development Authority in reorganization of business, including sale of Mercer Island and Cascade clinics (December 2001); spinoff of Osteoporosis Research Unit and Cross Cultural Health Care Program (March 2002); and transfer of multi-specialty group medical practice to newly formed nonprofit corporation, PacMed Clinics (June 2003).
Professional Background
Since 2006, Mr. Pedersen has represented the 43rd District in the Washington State House of Representatives. His district includes downtown Seattle, Capitol Hill, Wallingford, the University District, Montlake, and Madison Park. He served for seven years on the national Board of Directors of Lambda Legal, including two as co-chair, and has chaired Lambda Legal's National Leadership Council since 2005. Mr. Pedersen was the lead volunteer lawyer for Lambda Legal in the lawsuit seeking marriage equality for same-sex couples in Washington state. He also is treasurer and past president of Central Lutheran Church on Capitol Hill. He has sung in the Seattle Men's Chorus since 1996, is a 1999 graduate of Seattle's Leadership Tomorrow program and was grand marshal of the 2005 Seattle Pride Parade. Mr. Pedersen grew up in Puyallup, Wash. As a student, Mr. Pedersen lived in Russia and the Ukraine for two years.
