Areas of Practice

Mr. Sapire represents businesses and individuals in a wide variety of complex civil litigation in both court and private arbitration, including breach of contract, breach of fiduciary obligations, shareholder derivative litigation, theft of trade secrets, unfair competition, usurpation of corporate opportunities, products liability, professional negligence, and regulatory matters.  Mr. Sapire also has experience representing clients before state regulatory agencies in rulemakings and contested matters.

Representative Experience
  • Cases involving complex commercial issues including limitation of liability and indemnification; contractual defenses based on modification, waiver, merger, and integration; fraud and fraud-in-the-inducement; and the Economic Loss Rule.
  • Won $7.25 million jury trial verdict on behalf of foreign partnership in breach-of-contract dispute
  • Won summary judgment on behalf of Fortune 500 retailer in land-use and trespass dispute
  • Defended national engineering firm against state and federal environmental enforcement actions related to Hurricane Katrina reconstruction projects
  • Successfully settled hazardous-waste contamination claims against a national trucking company and an international electronics manufacturer on behalf of a major local municipal solid waste landfill operator in private litigation and parallel administrative proceedings against the Texas Commission on Environmental Quality
  • Defended privately-held general contractor against multi-million dollar environmental claims arising out of construction-project storm water discharges allegedly affecting protected local water resources
  • Prosecuted claims on behalf of real-estate limited partnership investors for fraud, breach of contract, and breach of fiduciary duty against general partners
  • Defended general partners against claims by foreign limited-partner investors in U.S. real-estate limited partnerships for fraud, breach of contract, and breach of fiduciary duty
  • Defended and prosecuted design and construction defect claims on behalf of design professionals, owners, and contractors
  • Defended independent directors of a publicly traded special-purpose acquisition company against shareholder-derivative claims
  • Defended corporate officers in securities-fraud litigation against a publicly traded medical device manufacturer

Professional Background

After law school, he clerked as a briefing attorney to Chief Justice Thomas R. Phillips of the Supreme Court of Texas.
