Areas of Practice

Mr. Chu's practice focuses on mergers, acquisitions, distressed M&A, joint ventures, venture capital/private equity investments, and other strategic transactions in a broad range of industries, including, automotive, cable TV, energy and natural resources, entertainment, financial services, fitness, healthcare, insurance, real estate, and technology (internet, software, personal computers, and peripherals). He has significant experience in cross-border investments with the Asia-Pacific region.

Mr. Chu is the creator of a widely-recognized "Deal Points Study" of negotiated M&A terms. His Study has since been adopted by the Committee on Negotiated Acquisitions of the American Bar Association, for which was a Founding Co-Chair of its M&A Market Trends Subcommittee.

Representative Experience
  • Acquisitions for AmerisourceBergen Corporation and Dell Inc.
  • Acquisition by Oak Pacific Interactive, a leading Beijing-based online social networking provider, of UU International Incorporation, a Beijing-based social networking provider backed by an investor group lead by US-based Accel Partners and Doll Capital Management.
  • Sale of TMT International Inc., a US subsidiary of Taiwan publicly-listed Tong Yang Group, to Prudential Capital.
  • Preferred Share financings (several rounds in excess of $500,000,000, in the aggregate) by Oak Pacific Interactive, a leading Beijing-based online social networking provider, from an multinational investor group led by Softbank Corporation and General Atlantic Partners
  • Preferred share financings by Youku.com, a leading video sharing site in China, by Bain Capital and Maverick Capital.
  • Merger of Intactix International, Inc., the world’s leading provider of retail space management software with Pricer, AB, a Stockholm Exchange-listed, global leader in electronic price labeling technology.
  • Private equity investment in a platform company to acquire and operate cable TV properties (sold for $4,500,000,000 and is now known as Charter Communications, Inc. (NasdaqNM:CHTR)
  • Series A and B preferred stock investments in AsiaInfo Holdings, Inc. (NasdaqNM:ASIA), a Beijing-based leader in internet infrastructure and software development in China.
  • Sale of DataTimes Corporation, a leading search engine and on-line business information company, to Bell & Howell Company (NYSE:BHW), now known as ProQuest Company (NYSE:PQE).
  • Acquisition by IPC Corporation Ltd (SES:IPC.SI), a Singapore public company and a leading Singapore-based information technology company, of Austin Computer Systems, a United States PC manufacturer.
  • Consolidation of two privately-held oil & gas exploration and production companies, Rising Star Energy, LP and Ricks Exploration, Inc.
  • Acquisition of several entertainment-related business from Gaylord Entertainment Company (NYSE:GET).
  • Private equity investment in and development of a luxury Tom Fazio golf community in Cabo San Lucas, Mexico.
  • Formation of an European joint venture between DataTimes Corporation, a leading United States search engine and online business information services company, and NewsCorporation, plc.
  • Convertible note and preferred stock PIPE (private investment in public entity) investments in Western Pacific Airlines, a NASDAQ-listed regional airline.
