Mr. Morse advises clients concerning all aspects of compensation and benefits, including issues involving M&A transactions and post closing benefits obligations, employment contracts, executive compensation and the Separate Line of Business regulations. Mr. Morse’s practice also includes the cost-effective design, funding, administration, termination and legal compliance of pension, 401(k), 403(b) and 457 plans, ESOPS and health and other welfare plans.
He has assisted for-profit, tax-exempt and governmental clients in the design, drafting and implementation of executive compensation programs, including golden parachutes, equity incentives, SERPs, deferred compensation, rabbi and secular trusts, and employment contracts.
Mr. Morse has handled significant client challenges before the IRS, PBGC and DOL involving statutory compliance and funding issues. In addition, he has advised plan trustees concerning the tender of employer stock during takeover contests and negotiated bankruptcy settlements on behalf of §1114 retirees health plan committee.
