Richard Nettles is an associate in the firm’s Charlotte office. Mr. Nettles focuses his practice on employee benefits, executive compensation, and related disclosure and corporate governance matters.

His executive compensation practice includes advising public and private company clients in the context of major corporate transactions, such as mergers, acquisitions and spin-offs, particularly with respect to equity compensation and issues arising under Internal Revenue Code Sections 162(m), 280G and 409A. Mr. Nettles advises clients on a variety of other executive compensation matters, including designing, drafting and negotiating employment, severance, incentive, and deferred compensation arrangements.

Mr. Nettles also advises clients with respect to the design, implementation and administration of equity plans, qualified and non-qualified retirement plans and welfare benefit programs.

Professional Background

Prior to joining K&L Gates, Mr. Nettles was an associate at Latham & Watkins LLP in Los Angeles. Prior to that, Mr. Nettles was a federal tax associate at KPMG LLP in Greenville, SC.

Advised a public company client on all employee benefit and executive compensation issues arising in the context of a corporate spin-off transaction, including the treatment of outstanding equity awards, the amendment and administration of compensation and benefit plans maintained by the surviving corporation, and the design, negotiation and administration of compensation and benefit plans at the new corporation.
Designed and implemented equity compensation plans and applicable award agreements for public company clients.
Advised a private company client in connection with an acquisition by a public company, addressing complex issues under Internal Revenue Code Sections 280G and 409A.
