Mr. Lawton concentrates his practice in general corporate and business matters, marketing, advertising and promotions, transportation matters, gaming law, government procurement, and commercial and construction litigation. He has significant experience counseling clients in the following areas:

General Corporate and Business Matters: Mr. Lawton regularly assists clients regarding general corporate and business matters, including preparation and negotiation of commercial agreements, entity formation and governance issues, and assistance with a variety of due diligence activities. As part of his general corporate experience, Mr. Lawton serves as a secondee in the legal department of a large international food product manufacturer, providing support in the commercial, marketing and supply chain areas by reviewing and negotiating a broad variety of agreements, as well as reviewing marketing, advertising and promotional activities. Mr. Lawton also serves as outside general counsel for a Pennsylvania trade association.

Marketing, Advertising and Promotions: Mr. Lawton regularly counsels clients regarding sweepstakes and contest promotions conducted online and through traditional methods, including drafting official rules and disclosures and analyzing legal implications of marketing and promotional campaigns to ensure compliance with federal and state law. Mr. Lawton has significant experience with marketing and advertising campaigns, including traditional campaigns, internet promotions, and social media, mobile and email marketing campaigns. He negotiates and drafts a wide variety of marketing and promotion related agreements, such as joint promotion, sponsorship, talent, media buying and media placement, agency services, sampling, co-branding, endorsement, and influencer agreements.

Transportation: Mr. Lawton has significant experience with traditional transportation agreements, in particular motor carrier transportation agreements, freight forwarder agreements, and motor carrier brokerage agreements. For a number of clients, Mr. Lawton has prepared template motor carrier transportation agreements, brokerage agreements, and freight forwarder agreements that the clients use as a starting point with motor carriers. He has also negotiated and drafted a large number of TL and LTL agreements for clients involving numerous motor carriers, including small, medium and large carriers. Mr. Lawton’s experience includes Department of Transportation compliance, including matters relating to the National Highway Traffic Safety Administration (NHTSA), such as safety recall and early warning reporting obligations, and the Federal Motor Carrier Safety Administration (FMCSA).

Betting and Gaming: Mr. Lawton provides advice to clients on issues involving U.S. federal and state laws applicable to traditional and Internet gaming and related activities, particularly in the legal area of online gaming and wagering in the United States and charitable gaming. He also advises private and institutional investors regarding state licensing requirements in connection with the acquisition of entities licensed by state gaming commissions, and counsels clients that do business with licensed entities.
Government Procurement: Mr. Lawton represents vendors of products and services to governmental agencies in various governmental requests for proposals, including purchase of goods, service contracts, and system contracts. As part of this representation, he assists clients with preparation of responses to requests for proposals and negotiation of complex contracts awarded through government procurement processes. He has also assisted clients with disputing contract awards by filing and litigating bid protests involving contracts issued by government agencies.

Professional Background

With over twelve years of experience in various financial and business management positions, Mr. Lawton has an extensive background in accounting, financial management, and retail operations.  Immediately prior to joining K&L Gates, Mr. Lawton served as the President of a Pennsylvania-based retail company, and as Director of Operations and Sales Administration for the retail division of a national apparel company.

  • Assisted numerous clients with nationwide sweepstakes and contests (both traditional and online), including review of official rules and promotional materials, as well as compliance with applicable bonding and registration requirements.
  • Represented several trailer manufacturers with respect to NHTSA safety recalls and early warning reporting requirements.
  • Prepared guide to NHTSA early warning reporting and safety recalls for national trade association.
  • Assisted entity with regulatory compliance due diligence with respect to its purchase of an organization that offers advance deposit horse wagering in 16 states. Primary role was to conduct regulatory compliance research, ensure that organization was in compliance with applicable state law, and assist with drafting the regulatory compliance section of the due diligence report.
  • Assisted large investment client with respect to its analysis of the acquisition of a gaming company, including research and review of regulatory compliance requirements in 15 states where gaming company owns facilities.
  • Assisted numerous on-line gaming clients with respect to analyzing applicable law to determine the legality of proposed on-line gaming activities, including skill games and virtual currency issues. The assistance includes, among other activities, reviewing state and federal law, and other related regulatory requirements, pertinent to the analysis.
  • Assisted technology service provider with negotiating and revising the system integrator agreement with the prime contractor for each project. The agreements were required to satisfy the provisions set forth in the prime contractor’s agreement with TxDOT. In addition, assisted with drafting and negotiating agreements with client’s various subcontractors.
  • Assisted a technology service provider with preparing and submitting proposals in response to requests for proposals issued by governmental authorities in Florida, North Carolina, and Utah to provide, install and maintain high speed electronic tolling equipment. Also prepared and negotiated the teaming agreements and subcontractor agreements.
  • Assisted a construction company with its bid protest and subsequent appeal to the Pennsylvania Commonwealth Court.
  • Assisted a technology company with its bid protect and successful appeal to the Pennsylvania Commonwealth Court.
  • Assisted a pharmaceutical company with its bid protest and successful appeal to the Pennsylvania Commonwealth Court.
  • Assisted a managed care organization with its bid protest and subsequent appeal to the Pennsylvania Commonwealth Court.
  • Assisted a construction company with its bid protest against PENNDOT for failure to comply with specific requirements of RFP.
  • Assisted with internal investigation of large international manufacturer regarding purported failure to follow GAAP and SEC reporting requirements.
