Mr. Lawton concentrates his practice in general corporate/business matters, commercial and construction litigation, gaming law, bankrutpcy, and internal investigations. His practice includes complex commercial litigation matters before federal and state courts, and arbitration proceedings. With respect to construction litigation experience, Mr. Lawton has represented general contractors and subcontractors in a variety of courts and administrative proceedings.

Mr. Lawton also regularly counsels clients regarding sweepstakes and contest promotions conducted online and through traditional methods, including drafting official rules and disclosures and analyzing legal implications of marketing and promotional campaigns to ensure compliance with federal and state law.

Mr. Lawton advises and assists franchisors with respect to the federal and state franchise registration and disclosure requirements associated with offering franchise opportunities. In furtherance of this guidance, Mr. Lawton also assists clients with preparation of the Uniform Franchise Offering Circular (UFOC), including form franchise agreement. In addition, Mr. Lawton aids franchisors in negotiating the final terms of the franchise agreement, as well as amending, interpreting and enforcing provisions of executed franchise agreements.

Professional Background

With over twelve years of experience in various financial and business management positions, Mr. Lawton has an extensive background in accounting, financial management, and retail operations.  Immediately prior to joining K&L Gates, Mr. Lawton served as the President of a Pennsylvania-based retail company, and as Director of Operations and Sales Administration for the retail division of a national apparel company.
