Roberto Lusardi is a senior associate in the firm’s Doha office. His practice focus is on corporate/commercial matters and various TMT transactions, specifically on large/turnkey projects and related implementation.

He has worked in Qatar since 2008, mainly in private practice but with some in-house experience, for clients in various sectors, including large corporates, TMT, infrastructure and financial services. Mr. Lusardi has advised clients both in private and public sectors, within and outside the GCC, on matters relating to English, Qatar and QFC law.

Professional Background

Prior to joining K&L Gates in Qatar, Mr. Lusardi practiced in South Africa for 10 years before a short stint as a consultant with a leading regional law firm in Bucharest, Romania.

From 2008 to 2015, Mr. Lusardi practised as a senior associate with another international law firm in its Doha office, working primarily on corporate/M&A and TMT transactions. From 2015 to 2017, Mr. Lusardi worked in-house at Al Jazeera Media Network as senior legal counsel attending to and managing substantial media and technology projects. From 2017 to 2019, he practised at another law firm advising primarily on TMT matters and transactions.

  • Global Communications Company: Assisting with the Qatar leg of a multi-jurisdictional due diligence investigation in respect of a corporate acquisition including reviewing of documentation and preparation of the related due diligence report and advising on corporate structuring and transfer issues.
  • Confidential Government Client: Assisting with advice and structuring in respect of a proposed joint venture company incorporation in Dubai for the establishment of a transport services business.
  • RM Boutique: Advising on franchising transactions in Qatar and assisting with the preparation of a proposed franchise agreement and related matters.
  • beIN Sports Network: Assisting and advising on the reorganisation of beIN Sports (formerly Al Jazeera Sports network/channels) as a separate corporate group. Work included initial due diligence and review of assets and contracts for transfer, establishment of various group companies, preparation of relevant sale and transfer agreements, review and drafting of satellite lease, broadcasting, sponsorship and related contracts, preparation of corporate/constitutional documentation and completion of asset/contract transfers and related obligations.
  • Sumitomo Corporation: Assisting with advice and structuring in respect of a proposed joint venture investment and company incorporation in Qatar for the establishment of an automotive business. Work included assistance with conducting a legal due diligence investigation, negotiations and the review and drafting of related commercial agreements in respect of assets transfer and shareholding arrangements.
  • Deutsche Bahn International: Advising on all corporate matters in respect of the joint venture with Qatari Diar for the creation of Qatar Railways Development Company (QRDC) in relation to the integrated rail network project for Qatar. Work included reviewing and drafting a revision to the joint venture agreement, the memorandum and articles of association of QRDC, incorporation of the joint venture company and related corporate/commercial documentation. Work also included providing on-going assistance in respect of general corporate matters as well as reviewing and drafting commercial agreements and company constitutional documents.
  • Qatar 2022 World Cup Supreme Committee: Assisting with incorporation of the bid company, to promote Qatar's bid for the 2022 FIFA World Cup, together with preparation of related corporate documents and review and drafting of related commercial contracts. On-going work included advising on an enterprise hosting services agreement, website terms of use, general software/consultancy services agreements and intellectual property rights assignment.
  • Procter & Gamble: Representing it in the South African leg of its worldwide merger with Gillette, including merger advice, as well as competition advice and all document preparation/filings to the Competition Commission in respect of the transaction.
  • Orica Explosives, Australia: Advising on the acquisition from Sasol (South Africa) of intellectual property/intangible assets relating to the mining explosives and detonators sector, together with the drafting of related manufacturing and distribution agreements between Orica and Sasol.
TMT
  • Confidential Automotive Clients: Providing advice on various aspects under Qatar law in relation to data protection, telecommunications connectivity, location data and telematics.
  • Global Technology Company: Advising on various matters in respect of datacenters and data transport networks in Qatar including, without limitation, telecommunications regulation, connectivity matters, privacy and data protection, media/content regulation and compliance.
  • Global Telecommunications Company: Providing legal and regulatory advice in connection with the establishment and collocation of telecommunications fixed network nodes and points of presence in Qatar.
  • Confidential Media Client: Assist with the negotiation, drafting and review of service and/or carriage agreements with mobile telephone operators and/or other platforms across various Middle East jurisdictions for the distribution and hosting of client video and television content.
  • Vodafone Qatar: Providing advice on all matters concerning the granting of a licence to it for the provision of fixed telecommunications network services in Qatar including submissions to the Qatari Regulator, review and drafting the interconnection agreement, transmission agreement, duct access agreement and related agreements with the incumbent operator. Work also included ancillary vendor and supplier agreements related to the fixed licence, review and drafting of agreements for the provision of telecommunications networks and services in respect of greenfield and other building developments, VSAT services and optical fibre as well as a master services agreement for the use/provision of a data centre and related services.
  • Mshereib Projects: Advising on and drafting of an agreement for the installation and operation of a fibre optic network throughout the mixed-use (residential, office and entertainment) infrastructure project in Qatar known as “Doha Downtown”.
  • Communications Regulatory Authority: Engaged on a part-time secondment at the Qatari telecommunications authority, which included review and amendment of regulations as well as advising on telecommunications laws/regulatory issues and related complaints against and claims by licensed network operators.
  • Al Jazeera Media Network: In-house legal services on all broadcast, media and technology matters, including the negotiation, drafting and reviewing of agreements in respect of channel distribution, supply and commissioning of fibre optic and satellite networks, broadcast, live streaming and other solutions as well as a digital satellite platform. Managing commercial and corporate matters such as structuring of a joint venture transaction for the establishment of a media production company, managing the client's global trademarks, defending infringement of the client’s copyright/unlawful use of the client’s content and setting up/restructuring of new bureaux.
  • Ericsson South Africa: Advising on and drafting the frame contract and related documentation for the supply of all equipment and services in respect of the mobile telecommunications networks for Mobile Telephone Networks’ (MTN) African operations.
  • Ericsson South Africa: Advising on the turnkey supply and construction contract with Econet Wireless Group and Vmobile Nigeria for the establishment of telecoms base stations in Nigeria.
  • Ericsson South Africa: Advising on and drafting the supply contract for services and equipment with Econet Wireless Group for the mobile telecoms networks to be set up in Kenya and Burundi respectively.
Projects and Finance
  • Diversified Conglomerate Client: Advising on and drafting a frame agreement and related documentation with a licensed network operator in Qatar for the commissioning and supply of an in-building mobile solution (LTE and Tetra) in respect of a multi-use retail/shopping real estate development.
  • Construtora OAS: Assisting a major Brazilian construction and infrastructure company with the establishment of its local operations in Qatar. Work included the incorporation of a local joint venture company, drafting of a joint venture agreement and services agreement as well as advising on procurement requirements in connection with a successful tender for a Ports Authority project and all related commercial assistance.
  • Energy City Qatar: Providing advice in connection with the establishment, operation and transfer of a fibre optic network project, the lease agreement for a proposed data centre and related matters in respect of a proposed new multi-use development at Lusail, including negotiation, contractual drafting and review of certain telecommunications regulatory issues.
  • United Precast Concrete Co. W.L.L. (Qatar): Assisting with contractual issues in respect of a building project, comprising subcontract and related main contract as well as claims and dispute proceedings with the main contractor.
  • Leighton Contracting (Qatar) W.L.L.: Assisting with contractual issues and disputes in respect of a construction agreement and form of subcontract, together with advice on related arbitration proceedings.
  • Mashreq Bank PSC: Assisting with review and drafting of a Guarantee Issuance Facility Agreement relating to a facility in respect of the Doha Metro Project- Red Line North, together with preparing documentation for and advising on satisfaction of conditions precedent as well as related completion obligations.
  • Barwa Bank P.Q.S.C.: Advising in connection with the proposed purchase of certain retail Islamic finance assets including review of the due diligence investigation and assistance with structuring the offer letter and relevant sale and purchase agreement.
  • National Bank of Greece: Advising it as the lender in drafting finance documents in connection with the project finance relating to the development of seven industrial parks in Romania.
  • Bel Rom Trei S.R.L: Advising it as the borrower in connection with the credit agreement and ancillary security documents concluded with KBC Bank N.V. (as lender and arranger) relating to project finance for a retail park development in Romania.
  • Groupe Laperriere & Verreault Inc.: Assisting with the review of a revolving credit facility taken at group level and the preparation of the relevant security documents (including share pledges, cessions of accounts and book debts as well as mortgages) in respect of its South African assets in order to secure the facility.
