Mr. Preston's practice includes counseling and representing public and private companies in a variety of matters involving technology transactions, licensing issues, outsourcing arrangements, and intellectual property law.  Mr. Preston also represents clients in all facets of corporate and securities transactions, including mergers and acquisitions both domestic and cross-border, the representation of companies receiving private equity, representing issuers in both public and private offerings, public company representation, and SEC reporting and compliance.  Mr. Preston represents new and emerging issuers, as well as established companies, in raising capital from both the public and private capital markets.  Mr. Preston has also represented clients in complex civil litigation and alternative dispute resolution proceedings involving antitrust, intellectual property, securities, and other commercial matters.

  • Representation of Ericsson Inc. in its acquisition of Optimi Corporation, a Delaware-based software company with operating subsidiaries in Spain, Dubai, and Brazil.
  • Representation of Ericsson Inc. in its acquisition of the assets of the strategy consulting business unit of InCode Telecom Group, Inc.
  • Representation of a Texas-based provider of hospice services in connection with its reorganization and concurrent US$ 59mm leveraged recapitalization by GTCR Golder Rauner II, a Chicago-based private equity firm.
