Susan Liu has a general international commercial practice, advising clients on transactions involving trade and investment in Asia, especially mainland China. Susan practiced in Asia since 1979 when she was assigned by Amoco Corporation (now BP plc) from Chicago to Hong Kong to act as Far East regional counsel. In 1985, she entered into private practice where her work has focused on international business transactions. She relocated her base to the firm's Orange County office in the greater Los Angeles area in 2003 and now splits her time between the firm's Orange County and Beijing offices, continuing to provide legal services and advice through the California and Asia offices.

Susan has had extensive experience in a broad range of corporate and commercial matters, including investments and joint ventures, technology transfers and licensing, and marketing and distribution. She has provided advice on the legal and tax implications of various structures for multinational transactions in Asia, particularly in China, and has prepared and negotiated joint venture and other cooperative agreements for clients in a variety of industries. Susan also has had a wide range of experience advising clients and drafting documents for numerous aerospace and telecommunications projects. She also has a strong background in energy law and practice, and has advised oil companies as well as various service companies in the industry.

Having a broad, general corporate practice, Susan counsels many clients on the contractual arrangements for their international transactions as well as on legal and regulatory environments in Asia, including:
  • Advice to several multinational companies on their distribution and marketing arrangements in Asia, sales representative and agency agreements, and on the establishment and activities of representative offices.
  • Advice on the establishment of joint venture companies and wholly foreign–owned operations in China, and advice on the available alternatives and procedures involved in the sale of a joint venture interest or termination and liquidation of a joint venture enterprise.
  • Advice on the establishment of project offices and related tax and regulatory matters for performance of equipment sale and installation contracts.
  • Advice to several high technology companies and consumer goods companies on strategies for the protection of intellectual property rights.
  • Advice on financial arrangements for sale and purchase transactions, such as letters of credit, bank and other financial guarantees, and other security documentation.
  • Advice regarding the assignment of expatriate personnel to various Asian countries, including advice on related employment, immigration and tax issues, and advice on employment of local staff.
  • Liaison with local counsel on various aspects of local law and practice and the applicable requirements and procedures for transactions or business ventures in their jurisdiction.

During Susan's work with Amoco Corporation and in subsequent years, she has provided legal advice on all aspects of the energy industry, including exploration, production and refining of oil and gas, petrochemical manufacturing, and the marketing and sale of petroleum and chemical products. Her work has included preparation, negotiation and advice on agreements in all aspects of the industry. Susan has also developed a strong practice in the field of aerospace and telecommunications. Her work in this practice area has included:


  • Representation of a major regional satellite operator which has included negotiations of satellite purchase contracts, negotiations with broadcasters, including most of the major media companies, for capacity utilization on its satellites; and
  • Negotiation of launch service contracts with international satellite manufacturers and operators on behalf of China's launch service provider.
  • Advice on laws and regulations regarding orbital slot allocation and satellite operations.
