Tariq Fedda is an associate at the firm’s Miami office in our energy, infrastructure and resources practice area. He advises in relation to structuring, development, documentation and financing of international infrastructure projects. Mr. Fedda has particular experience in the LNG and power industries.

Mr. Fedda has advised developers, contractors, lenders, and investors in the drafting and negotiation of both project and finance documentation, including charter parties, terminal use agreements, commodity and asset sale and purchase agreements, power purchase agreements, concession agreements, joint ventures, loan agreements, and security agreements under both New York and English law. Mr. Fedda regularly advises on cross-border transactions involving multiple jurisdictions.

Professional Background

Prior to joining the firm, Mr. Fedda served as an associate for international law firms in London and Miami where he worked on the project development and financing of infrastructure projects in the LNG, power and maritime sectors.

Prior to practicing law, Mr. Fedda served as a business development manager for a Japanese trading house in Abu Dhabi where he worked on the structuring, analysis, and negotiation of independent water and power projects in the Middle East. Mr. Fedda also served as an executive for an English investment bank in New York where he worked on the structuring and sale of derivative products linked to equities, interest rates, commodities, and currencies.

LNG
  • Advised the charterer of an FSRU on the negotiation of an FSRU time charter party and related services agreements, LNG SPA, ship sale and purchase agreements, joint development and joint venture agreements, maritime concession agreement, tugboat charter, shipbuilding and conversion agreements, and a quiet enjoyment agreement. The engagement included project structuring, bankability analysis, and project-on-project risk mitigation
  • Advised the export credit agencies and commercial lenders on the US$8.5 billion financing of an LNG liquefaction terminal in Australia on the due diligence of offtake, construction, operation, shipping, marketing and licensing arrangements, and on the drafting and negotiation of loan agreements, sponsor completion agreements, and security agreements
  • Advised a global LNG carrier fleet on various matters, including ship financings under a New York bond program and under shariah-compliant finance principles, restructuring of a master ship management agreement, time charters, and other transactional matters
  • Advising a global energy company on an LNG SPA contract
  • Advising the developer of an FSRU project on a terminal use agreement
  • Advising the toller of an LNG terminal on a transfer of its rights
Oil & Gas
  • Advised a major oil & gas company on the structuring of an FPSO transaction in Guyana
  • Advised an infrastructure fund on an oil field investment in Argentina
  • Advising an oil trading company on a tankage agreement
Power
  • Advised the sponsor of an LNG to power project on project development and structuring, and on drafting and negotiating loan agreements and security agreements with multilateral agency lenders
  • Advised the lenders, including European development banks, on the greenfield financing of wind power projects in Argentina
  • Advised the sponsors on the development and financing of the first public private partnership ever completed in Kuwait, a 1500MW combined cycle generation and 100 MIGD desalination plant
  • Advised the bidders on the acquisition of a two gas-powered generation plants in the PJM
  • Advised the bidders on the acquisition of a gas-powered generation plant and FSRU in Colombia
  • Advised an infrastructure fund on the mezzanine financing of solar power projects in Mexico
