Teresa Hill is a partner in the firm’s Portland office. She focuses her practice in the areas of energy and infrastructure projects and transactions with an emphasis on wind, solar, biomass, geothermal and hydroelectric power. Teresa advises clients in the negotiation of development-related agreements, with an emphasis on negotiating major power purchase agreements. Teresa spearheads the K&L Gates Corporate Energy Sourcing initiative, which helps corporate customers develop and implement sustainability and carbon goals through their energy strategy.

Professional Background

Prior to joining K&L Gates, Ms. Hill was a partner in the environment, land use and natural resources and renewable energy groups of a Portland-based law firm.

Corporate Energy Sourcing
  • Currently representing a large global company in connection with its procurement of hundreds of MW of renewable energy. Our current work includes the preparation and negotiation of both physical and virtual renewable energy power purchase agreements, development of form physical and virtual power purchase agreements for use in current and potential future renewable energy purchases, development of a form agreement for, and negotiation of, multiple on-site solar power purchases, assisting with regulatory filings, and assisting with the strategy for future procurement of renewable energy credits.
  • Currently representing major sports brand in implementing its 100% renewables goal including negotiation of wind energy supply for its corporate headquarters through an energy service supplier, negotiation of an on-site solar installation and power purchase agreement and negotiation of a virtual power purchase agreement for wind energy.
  • Represented a large industrial manufacturer in negotiating a virtual PPA for the output of a utility-scale wind project in the Midwest.
  • Represented a major sporting goods brand in negotiating consideration of a virtual power purchase agreement for utility-scale wind energy to support its renewable energy and carbon goals for its global operations.

Solar

  • Represented Argand Energy Solutions in negotiating a PPA for a carport solar installation at the Volvo Powertrain North America manufacturing facility in Maryland.
  • Represented one of the largest renewable developers in the United States in negotiating a power purchase agreement, interconnection agreement and lease agreement for a 20 MW photovoltaic facility located in Arizona.
  • Assisted in representation of major business to business energy supplier in securing construction, debt financing and tax equity financing for a portfolio of solar projects in New Jersey.
  • Provided due diligence review of power purchase agreements related to the acquisition of Long Island solar project.
  • Assisted in representation of US renewable energy developers acquisition and sale of utility scale solar project in California.

Wind

  • Represented one of the largest renewable energy developers in the United States in negotiating a long-term power purchase agreement for sale of output and environmental attributes from a California wind facility to the largest municipal water and power utility in the United States.
  • Represented major US energy developer in obtaining land use approvals for Idaho wind farm.
  • Represented one of the largest renewable energy developers in the United States in negotiating a long-term power purchase agreement for sale of a 50 MW slice of the output and environmental attributes from a California wind facility to a California municipal utility.
  • Represented one of the largest renewable energy developers in the United States in negotiating a long-term power purchase agreement for sale of 100 MW slice of output and environmental attributes from a California wind facility to a California investor owned utility.
  • Represented purchaser of Idaho wind projects in due diligence review of Idaho Power PURPA contracts.
  • Represented seller of Idaho wind project in providing legal opinions related to project development and permitting.
  • Represented wind developer in negotiation of long-term power purchase agreement for community wind project in South Dakota.

Biomass

  • Represented developer of a 3 MW anaerobic digester in providing permitting opinions related to power purchase agreement with Idaho Power.
  • Represented biomass developer in negotiation of long-term power purchase agreement with California municipality and biogas purchase and sale agreement with California utility.
  • Advised client regarding drafting of agreements related to development of renewable fertilizer plant, including purchase agreement for biogas from municipal wastewater facility and fertilizer supply agreements.
  • Assisted client with letter of intent and development agreements related to two biomass projects in South Dakota.

Policy/Regulatory

  • Advised renewable energy developer on potential impact of Idaho proposed wind-moratorium.
  • Advised purchaser of Idaho renewable energy facility on enforceability, procedural process and potential impacts of Idaho PUC order reducing avoided-cost rate eligibility cap for wind projects.
  • Advised Idaho industrial client on enforceability of proposed Idaho legislation allocating ownership of renewable energy credits.
  • Representation of demand response provider before the Idaho PUC and Oregon PUC in docket to revise Idaho Power demand response programs.
