Power Purchase Agreements

Represented project developer concerning power purchase agreement for floating solar project in California (at the time of construction it was the largest floating array in the United States).
Assisted national residential and commercial solar provider with updating all of their commercial power purchase agreement templates (physical and virtual).
Counseled developers and offtakers concerning behind the meter power purchase agreements.
Advised clients with net metering/billing credit agreements.
Represented clients with renewable energy credit purchase and sale agreements.

Hydrogen

Represented developer with preparation of electrolyzer supply agreement template.
Represented developer with negotiation of electrolyzer supply agreement.

Commercial

Advise CleanCapital Holdings LLC with the acquisition of an operating facility and certain additional development rights of a solar project located in Guam.
Represented sellers and buyers with the acquisitions and dispositions of project related entities and assets.
Advise client on the acquisition of a 4 MW carport solar project located in Los Angeles, CA.

Project Finance

Advised independent power producer/borrower concerning $2.5 billion revolving construction credit facility (Project Finance International’s North American Deal of the Year 2000) for the financing and construction of 12 natural gas-fired power plants and the capital markets refinancing of such credit facility (Project Finance International’s North American Refinancing Deal of the Year 2004).
Counseled independent power producer/borrower concerning $1 billion revolving construction credit facility (Project Finance International’s North American Deal of the Year 1999) for the financing and construction of 8 natural gas fired power plants and the capital markets refinancing of such credit facility (Project Finance International’s North American Refinancing Deal of the Year 2003).

Real Estate

Advised renewable energy developers with lease, license, and easement agreements for project related property rights.
Counseled electric vehicle service providers with real estate and other agreements related to the buildout of their regional charging station networks and related matters.
Assisted global telecommunications provider with cell site leases and related matters.
Represented solar developer regarding negotiation of agreement for purchase of real property rights from land bank organization.
Advised the country’s largest “big-box” retailer, concerning acquisitions of real property and related matters.
Counseled four of the country’s five largest financial institutions (based on total deposits) with real estate loan origination and servicing transactions.
