Advised Sydney-based PrimaryMarkets Limited in relation to its AUD24 million merger with San Francisco-based Linqto, Inc. which was the "merger of equals" and was conducted in accordance with the Takeover provisions and procedures in Chapter 6 of the Corporations Act in which we advised Primary Markets on the structuring and implementation of the transaction from origination to completion.
Acted for a pharmaceutical business in a partnership restructure and subsequent AUD80 million share sale to a large private equity firm.
Acted for Inabox Group Limited (ASX-listed) in a number of business acquisitions, including AUD7 million acquisition of Hostworks Group Pty Ltd.
Acted for Autopia Group in its AUD36 million share sale to Smartgroup Limited (ASX-Limited).
Advised LBNCo Bidco Pty Ltd on its acquisition of 100% of the issued share capital in Capital Fibre Networks Pty Ltd.
Acted for a fleet management company in its AUD2 million acquisition of a private transportation company.
Acted for Conference Call International in a company restructure and subsequent AUD18 million share sale to MNF Group Limited (ASX-listed).
Advising on corporate governance risk management and compliance issues particularly in relation to acquisition documentation, transaction structuring and breach of warranty claims.

Acted for Sequoia Financial Group Limited in its acquistion of InterPrac Limited.

Acted for Sequoia Financial Group Limited in its acquisition of Morrison Securities Pty Ltd.

Represented a private investment management company on its joint investment in the nation’s largest private co-working facility provider known as Hub Australia.

Setting up, structuring and exiting venture capital and private equity investments.

Acted for Bux global Limited in relation to a potential IPO on the ASX.

Planning and implementing corporate structuring including joint ventures, management buyouts, reconstructions and reductions in capital.

Acted for the shareholders of Cell Care Australia in the sale of the share capital of Cell Care. Cell Care operates a storage facility for cord blood and umbilical cord tissue storage and has developed technology related to stem cell biotech. The business operates in Australia and North America. The purchaser was a significant private equity fund, CHAMP.
